Head of Legal – Corporate and Acquisitions

Pinar Care is looking for an experienced corporate and M&A solicitor to join our Senior Leadership Team as Head of Legal – Corporate and Acquisitions.

This is a newly created and influential role within a growing care group. Acting as our sole in-house legal professional, you will lead the legal workstreams for acquisitions from initial terms and due diligence through to signing, completion and post-acquisition integration.

Working closely with the Chief Finance Officer, Executive Director and other senior leaders, you will provide clear, commercially focused advice that helps the Group manage legal risk while maintaining transaction momentum.

The Role

You will:

  • Lead and coordinate the legal aspects of multiple acquisitions across the full transaction lifecycle
  • Draft, review and negotiate Heads of Terms, confidentiality agreements and preliminary transaction documents
  • Manage legal due diligence, data rooms, information requests and seller responses
  • Review and negotiate share and asset purchase agreements, disclosure letters, ancillary agreements and completion documents
  • Identify material legal risks and translate complex issues into clear, practical recommendations
  • Coordinate specialist external advice relating to financing, property, regulatory, tax and employment matters
  • Manage signing, completion, post-completion obligations and transaction trackers
  • Support the legal integration of acquired businesses and identify inherited obligations or areas requiring remediation
  • Provide advice on commercial contracts, supplier agreements, confidentiality arrangements, corporate governance and other general corporate matters
  • Establish effective legal templates, controls, processes and reporting arrangements
  • Manage external legal advisers, including their scope, performance and costs

About You

You must be a qualified solicitor admitted in England and Wales and hold a current practising certificate.

You will also have:

  • Substantial senior-level UK corporate and M&A experience
  • Demonstrable experience managing acquisitions through the full transaction lifecycle
  • Strong legal drafting, negotiation and transaction-management skills
  • Broad corporate and commercial experience, enabling you to operate confidently as a sole in-house legal professional
  • Experience independently managing multiple transactions and external legal advisers
  • Strong commercial judgement and a pragmatic, solutions-focused approach
  • The confidence to advise, influence and constructively challenge senior decision-makers
  • The ability to work autonomously and manage competing priorities and deadlines
  • High standards of integrity, confidentiality and professional conduct

Experience gained in-house, within health or social care, another regulated sector, or a private equity-backed, buy-and-build or high-growth organisation would be particularly valuable.
