Are you a proactive governance professional who thrives in a complex, fast-paced environment?
We have an opportunity for a governance professional to join Mourant, providing high-quality in-house company secretarial and governance support. Acting as a trusted adviser to directors and senior management, you'll help ensure robust governance, effective decision-making, and statutory compliance.
This role offers the chance to shape a developing global governance function within a growing and forward-looking business. You will work at the center of decision-making, with exposure to a wide range of strategic and operational activity.
About the Role
- Plan and run board and committee processes end-to-end, including agenda preparation, board packs, and meeting support
- Draft and maintain accurate minutes, ensuring decisions, discussions, and actions are clearly captured and circulated promptly
- Maintain core governance documentation including constitutional documents, reserved matters, and committee terms of reference
- Manage action trackers, monitor progress, and provide clear status updates
- Deliver board and committee effectiveness reviews, including surveys, analysis, and reporting
- Maintain governance frameworks and support governance-related projects such as entity formations, restructures, and integrations
- Oversee entity management and compliance, including statutory filings, maintaining registers, and supporting annual processes such as audits and AGMs
- Respond to due diligence requests and maintain the global due diligence register
- Ensure procedural validity of decisions and escalate governance risks where required
- Provide guidance and training to support strong governance practices across the group

About You
- Proven experience within an in-house governance or company secretarial function, or strong corporate law experience with an interest in governance
- Demonstrable knowledge of governance frameworks, company law requirements, and board processes
- Confidence in engaging with senior stakeholders, with sound judgment and discretion
- Strong organizational skills with the ability to manage competing priorities in a fast-paced environment
- Working knowledge of governance systems and tools, or the ability to quickly develop this knowledge
- Proactive approach to continuous improvement, including the use of technology and efficient processes
