Role Overview

We are hiring for one of our clients, seeking a Corporate Attorney to provide legal counsel on corporate governance, compliance, and transactional matters. The role involves advising on corporate structure, regulatory filings, and contract negotiations for a growing technology platform.

Key Responsibilities

  • Draft, review, and negotiate commercial contracts, including service agreements, partnership agreements, and vendor contracts.
  • Advise on corporate governance matters, including board and shareholder meetings, compliance with state and federal regulations, and corporate policies.
  • Ensure compliance with applicable laws, regulations, and internal policies, including data privacy and security requirements.
  • Manage corporate filings and maintain corporate records, including minute books, stock ledgers, and corporate certificates.
  • Provide legal support for mergers, acquisitions, and other corporate transactions as needed.

Required Skills & Qualifications

  • Juris Doctor (JD) degree from an accredited law school and active membership in a state bar association.
  • Minimum of 5 years of experience in corporate law, with a focus on transactional and compliance matters.
  • Strong understanding of corporate governance, compliance, and regulatory requirements.
  • Experience drafting and negotiating complex commercial contracts and agreements.
  • Ability to work independently in a remote environment with minimal supervision.
