The Role
We are seeking an Independent Trustee to join our EOT Board.
In this role, you will provide objective oversight, constructive governance, and strategic guidance to safeguard the long-term interests of our employee-owners. You will act as an independent voice, ensuring our EOT operates transparently, adheres to fiduciary responsibilities, and aligns with Formative's core values.

This is a quarterly commitment requiring attendance at four main board meetings per year (held in London/Hybrid), alongside minimal preparation time to review board packs and occasional ad-hoc advice to the leadership team.
Key Responsibilities:
- Governance & Oversight: Provide independent scrutiny and objective challenge on agency performance, strategic direction, and risk management.
- EOT Stewardship: Safeguard the interests of the employee-owners and ensure the trust operates in full alignment with UK EOT principles and regulations.
- Board Participation: Prepare for and actively contribute to quarterly EOT Trustee Board meetings.
- Culture & Ethics: Champion high standards of corporate governance, ethical conduct, transparency, and inclusion across the organisation.

Qualifications & Experience
Essential:
- EOT Governance Experience: Direct experience acting as a Trustee, Independent Director, or Advisor within an Employee Ownership Trust (EOT) or a similar employee-owned structure.
- Board-Level Scrutiny: Proven ability to act independently, exercise sound fiduciary judgement, interpret high-level business performance, and constructively challenge leadership.
- Commercial Acumen: Strong understanding of corporate governance, organisational strategy, and risk management.
Highly Desirable:
- Marketing & Agency Background: Prior experience working within marketing, communications, digital media, or a broader professional services agency environment.
- UK Compliance Knowledge: Familiarity with UK regulatory frameworks governing corporate structure and trusts.
