Interim Assistant Company Secretary

London | Hybrid Working | Contract

Major Lindsey & Africa is partnering with a leading global financial institution seeking an experienced Interim Assistant Company Secretary to join its EMEA Corporate Secretariat function.

This organisation operates across multiple international markets and supports a broad range of regulated banking, financial services and corporate entities throughout Europe. The governance function plays a critical role in ensuring strong corporate governance standards, effective board oversight and seamless interaction between directors, senior management, regulators and key stakeholders.

This opportunity sits within a well-established team of governance professionals supporting a portfolio of regulated and non-regulated European entities. The successful candidate will join during a busy and highly visible period, providing hands-on support across board and committee governance activities.

Key Responsibilities

  • Support the Corporate Secretariat team across a portfolio of European legal entities.
  • Coordinate and manage Board and Committee meetings, including agenda preparation, board pack distribution and stakeholder engagement.
  • Attend Board and Committee meetings and draft high-quality minutes, resolutions and governance documentation.
  • Ensure timely follow-up of board actions, decisions and governance matters.
  • Work closely with directors, senior management, control functions and other internal stakeholders to support governance activities.
  • Maintain governance records, board documentation and committee archives in accordance with regulatory and internal requirements.
  • Support the management of statutory records, delegated authorities and signing authorities.
  • Assist with the execution of legal and governance documentation, including powers of attorney, deeds, certifications, notarisation and related processes.
  • Coordinate with external company secretarial service providers across multiple jurisdictions.
  • Contribute to governance projects, entity management initiatives and ongoing process improvements.
  • Respond to governance-related requests from senior stakeholders, auditors, risk, finance and regulatory teams.
  • Support the implementation of governance best practices, procedures and controls across the wider Secretariat function.

You are likely to possess:

  • Experience working within a Company Secretariat, Corporate Governance or Board Governance function.
  • A strong track record of attending board and committee meetings and producing accurate, high-quality minutes.
  • Experience supporting regulated financial services, banking, asset management or wider financial institutions.
  • Strong understanding of corporate governance frameworks and board support processes.
  • Excellent written communication skills and exceptional attention to detail.
  • The ability to manage multiple priorities and deliver to tight deadlines.
  • Confidence interacting with senior stakeholders, directors and executive management teams.
  • A proactive, organised and solutions-focused approach.

Desirable Experience

  • Experience supporting regulated entities within financial services.
  • Exposure to UK, Irish or wider European corporate governance frameworks.
  • CGI qualification (or studies towards qualification) would be beneficial but is not essential.
  • Previous experience within an international banking or financial services organisation.
