The Opportunity
We are exclusively partnering with a private equity-backed business operating within the renewable energy and grid infrastructure sector to appoint an experienced Interim Chief Financial Officer. The organisation is entering a transformational period involving a potential strategic acquisition and business combination, creating an exciting opportunity for a commercially minded finance leader to play a pivotal role in shaping the next phase of growth.
Reporting directly to the Board and working closely with investors and senior stakeholders, the successful candidate will lead financial due diligence, acquisition readiness, integration planning and execution, whilst establishing a standalone finance function capable of supporting a growing platform business.
This is a highly visible role requiring a balance of strategic leadership and hands-on delivery. The successful candidate will be comfortable operating both at Board level and within the detail of financial operations.
Key Responsibilities
Transaction & Pre-Acquisition Activities
- Lead all finance-related aspects of a potential merger and acquisition process.
- Support commercial, financial and operational due diligence activities.
- Assess financial risks, synergies and value creation opportunities.
- Develop acquisition and integration financial models.
- Coordinate with advisors, lenders, investors and legal teams throughout the transaction lifecycle.
- Support Board-level decision making through high-quality financial analysis and insights.

Integration & Transformation
- Develop and execute post-merger integration plans.
- Lead finance function integration across multiple businesses where required.
- Establish robust financial controls, governance frameworks and reporting processes.
- Drive harmonisation of systems, processes and management information.
- Ensure continuity of financial operations during periods of change.
Standalone Finance Function Creation
- Design and implement a scalable finance operating model.
- Build core finance capabilities including reporting, controls, forecasting and cash management.
- Recruit, develop and manage finance personnel where required.
- Establish appropriate finance systems, policies and procedures.
- Ensure readiness for future growth, investment and potential exit scenarios.
Financial Leadership
- Own budgeting, forecasting and long-term business planning processes.
- Provide strategic financial guidance to the CEO, Board and investors.
- Manage liquidity, cash flow and working capital requirements.
- Oversee financial reporting, audit and compliance activities.
- Partner with the private equity sponsor's finance team to ensure alignment with investor requirements and governance standards.
- Deliver accurate and timely management information, KPI reporting and business performance insights.
Candidate Profile
We are seeking an accomplished Interim CFO with a demonstrable track record of delivering complex transactions and finance transformations within infrastructure-related sectors.

Essential Experience
- Previous Interim CFO, CFO or Finance Director experience.
- Significant experience within renewable energy, power, utilities, grid infrastructure, energy transition or broader infrastructure sectors.
- Proven track record supporting mergers, acquisitions and post-deal integrations.
- Experience operating within private equity-backed businesses.
- Demonstrable experience establishing or transforming finance functions.
- Strong understanding of investor reporting, governance and value creation initiatives.
- Experience working within fast-paced, high-growth environments.
