We are working with a well-established UK listed business seeking an experienced Interim Group Company Secretary to provide senior-level cover while the business conducts a permanent search.
This is a broad, hands-on role with responsibility for the full Company Secretarial function across the listed parent and wider group. The successful candidate will work closely with the Chair, Board, Committee Chairs, CEO and CFO, ensuring continuity across the Board and Committee cycle, listed company compliance, shareholder matters, statutory governance and wider governance processes.
The Role
The Interim Group Company Secretary will take responsibility for:
- Leading the Board and Committee governance cycle, including agendas, papers, minutes, actions and meeting schedules.
- Working closely with the Chair, Executive Directors and senior stakeholders to ensure effective Board support and governance.
- Leading the Company Secretarial contribution to the Annual Report and Accounts.
- Overseeing AGM delivery, shareholder communications, proxy voting and related regulatory submissions.
- Managing dividend governance, approvals and associated documentation.
- Ensuring ongoing statutory compliance across the Group, including Companies House filings, registers and subsidiary governance.
- Advising on listed company governance, emerging regulation and best practice.
- Managing MAR, inside information, PDMR and share dealing processes.
- Drafting and reviewing stock exchange announcements and other market-facing governance materials.
- Maintaining key governance policies, Terms of Reference, Matters Reserved and related documentation.
- Managing and supporting the existing Company Secretarial resource.
- Working with external providers including registrars, brokers, auditors, printers and advisers.

About You
We are looking for an experienced interim Company Secretary who can step in quickly and provide confident, pragmatic support from day one.
You will ideally have:
- Significant experience in a UK listed company environment.
- Strong Board and Committee governance experience.
- Hands-on experience with Annual Reports, AGMs, dividends and shareholder matters.
- Strong knowledge of the Listing Rules, DTRs, MAR, the UK Corporate Governance Code and Companies Act requirements.
- Experience managing PDMR, insider list and share dealing processes.
- Strong statutory and subsidiary governance experience.
- The confidence to advise senior executives and Board members directly.
- Previous experience leading or managing Company Secretarial support.
- A CGI/Chartered Governance qualification, or equivalent, would be highly desirable.
