Interim Head of Governance and Company Secretary
Salary: £54,486 per annum, pro rata
Hours: 21 hours per week/across 3 Days
Contract: Temporary
Location: Hybrid, with approximately one day per week in the London office (flexible)
Start date: Immediately
Duration: 3-6 months approx.

TPP Recruitment is supporting a national charity to recruit an Interim Head of Governance and Company Secretary. This is a senior, part-time position working closely with the Chief Executive, trustees, and senior leadership team.
You will provide immediate support and stability across governance, company secretarial duties, regulatory compliance, and risk management. The role offers 21 hours per week, with flexibility around the working pattern.
Key responsibilities
- Coordinate Board and trustee meetings, including agendas, papers, minutes, and actions
- Provide clear governance advice to trustees and senior leaders
- Maintain statutory records and oversee regulatory filings
- Ensure compliance with governing documents, charity law, and regulatory requirements
- Maintain and review governance policies, frameworks, and internal controls
- Manage the organizational risk register and support effective risk management
- Support trustee induction, development, and Board effectiveness
- Monitor relevant legal and regulatory changes
- Provide governance and project support to the Chief Executive and leadership team
- Support audit, due diligence, and wider regulatory requirements

About you:
You will be an experienced governance or company secretarial professional who can quickly understand an organisation, build trusted relationships, and provide practical, confident advice.
- Governance or company secretarial experience within a charity, not-for-profit, public sector, or similarly regulated organisation
- Experience supporting Boards, trustees, and senior leadership teams
- Strong knowledge of charity law, governance frameworks, and regulatory requirements
- Experience managing governance policies, risk registers, and statutory responsibilities
- Excellent minute-taking, written communication, and organizational skills
- The ability to manage multiple priorities and deadlines
- A collaborative, self-directed, and adaptable approach
- High levels of integrity, discretion, and attention to detail
