Chief Legal Officer (CLO)/ Legal Council

Prytek | London (Hybrid – remote flexibility available) | Full-time

Role Overview

The CLO leads the Group's legal function and acts as a key partner to the founder, senior management, and the investment team. The role combines strategic deal advisory (M&A, investments, structuring), corporate governance, and hands-on legal support for portfolio companies across multiple jurisdictions.

Key Responsibilities

  • Lead legal execution of M&A and investment transactions: due diligence, structuring, term sheets, SPA/SHA, and closing.
  • Structure holding and investment vehicles (including fund/SPV structures), accounting for cross-jurisdictional and tax considerations.
  • Oversee corporate governance for the Group and portfolio companies: boards, corporate policies, cap tables, and option plans (ESOP).
  • Manage external legal counsel across jurisdictions and control the legal spend budget.
  • Handle commercial contracts: partnerships, suppliers.
  • Own compliance and regulatory matters (including financial licensing, GDPR/data protection, and AML where applicable).
  • Manage risk, disputes, and litigation.
  • Support fundraising and act as the legal point of contact for investors.

  • Qualified lawyer with a current practising certificate in England & Wales.
  • Minimum 10 years' experience, including significant exposure to M&A / VC / PE or an in-house legal function within an investment or technology group.
  • Proven track record of cross-border transactions and working within an international structure.
  • Strong deal-structuring and corporate law expertise.
  • Fluent English, Hebrew is a plus.
  • Ability to work at pace and independently manage multiple concurrent transactions.
