My client is seeking an exceptional corporate Legal Counsel to join their growing organisation at a pivotal moment in their growth. Reporting to the Head of Legal, you will play a key role in supporting strategic legal initiatives. This is a fantastic role in the aerospace and defence sector.
As Legal Counsel, you will help shape transactions from the outset, responsibilities will include drafting and reviewing legal documentation and ensuring the smooth execution of corporate transactions and related activities.
Responsibilities
- Advise and support on a broad spectrum of corporate matters including equity and debt fundraising rounds (primarily Series B–H), investor negotiations and transaction execution.
- Provide support for mergers and acquisitions, from structuring through to completion and integration and other strategic transactions.
- Advise on corporate governance matters and assess and manage corporate risks associated with corporate initiatives.
- Support international group structuring projects.
- Act as a key legal business partner to senior stakeholders across the business on strategic and day-to-day matters.
- Assist with the development and maintenance of corporate templates, governance frameworks and internal legal processes.
- Stay abreast of relevant laws, regulations and industry trends to ensure compliance.

Requirements
- Qualified solicitor with a minimum of 4 years’ post-qualification experience.
- Specialism in corporate law, underpinned by training and post-qualification experience at a leading law firm.
- Proven ability to manage concurrent corporate transactions efficiently, with strong organisational skills and attention to detail.
- Familiarity and demonstrated experience in Fundraising transactions (Series B–H or equivalent growth-stage financings), M&A and corporate governance.
- Experience of working on international and cross-border transactions. Experience of liaising and working with local counsel across multiple jurisdictions.
- Strong technical grounding in corporate law with the ability to operate pragmatically in a fast-paced environment.
- Commercial mindset with the ability to balance legal risk and business objectives.
- Excellent communication, collaboration and stakeholder management skills, combined with a proactive and self-driven approach.

Desirable Experience
- Experience in the aerospace and or sector.
- Prior experience of emerging companies and venture capital portfolio companies and/or venture capital investor experience.
- Exposure to or experience in Company Secretarial responsibilities and board support.
- Experience working autonomously in a corporate/commercial in-house environment.
