Your Responsibilities

Vista Legal enables outcomes rather than simply controls risk, so this role would suit a technically strong lawyer who is commercially fluent, clear and direct with senior stakeholders, and motivated to deliver innovative transactions with real autonomy and ownership.

  • Support and advise on a broad range of English and New York law-governed debt capital markets transactions, including unsecured bond issuances, term loans, complex credit facilities and related financing arrangements.
  • Support equity capital markets activities, including disclosure obligations, reporting requirements, corporate governance matters and securities law compliance.
  • Provide advice on ongoing covenant compliance obligations under financing arrangements and monitor developments in relevant regulatory frameworks.
  • Advise on and manage engagement with securities regulators and relevant authorities.
  • Support Finance and Accounting teams in relation to audit processes and other financial matters with legal implications.
  • Contribute to the development and maintenance of Vista Legal's precedents, playbooks, training materials and knowledge management systems.

Required Skills, Qualifications, And Experience

  • England & Wales or New York qualified lawyer.
  • 4-8 years PQE, with experience at a leading international law firm.
  • Strong capital markets experience, including advising on debt and/or equity issuances.
  • Proven ability to independently manage transactions from inception to closing.
  • Excellent drafting, negotiation, and stakeholder management skills.
  • Experience working directly with investment banks, issuers, and external counsel.

Nice to have

  • An interest in the aviation industry.
  • Experience working on both English and New York law-governed documentation.
  • Prior in-house or secondment experience.
