Private Equity / Real Estate Investment | London / Hybrid

We are recruiting an Corporate Counsel for the European legal team of a private equity / real estate investment platform.

This is a broad in-house role supporting the business across the full investment lifecycle, from deal execution through asset management, financing, refinancing, restructuring and exit. The role will also involve working closely with the Head of Legal on corporate governance, fund operations, compliance and wider strategic legal matters.

It would suit a lawyer with experience in private equity real estate, investment management, funds, finance or corporate transactions, gained either in-house or at a leading international law firm.

The role

The successful candidate will act as a key legal adviser to investment, finance, tax, compliance and asset management teams across Europe. The work will be varied, commercial and highly stakeholder-facing, with regular interaction across multiple jurisdictions.

The work will include:

Transactions and investments

  • Supporting acquisitions, disposals, property and development management arrangements and joint venture transactions across Europe
  • Working directly with counterparties on legal and commercial negotiation points
  • Coordinating external legal, tax and corporate advisers across multiple jurisdictions
  • Supporting investment committee and board approval processes
  • Advising investment teams on transaction risks and practical mitigation strategies
  • Helping drive transaction timelines and ensuring key legal milestones are delivered

Corporate governance

  • Supporting board and shareholder governance across UK, Luxembourg, Irish, Spanish and German structures
  • Reviewing board minutes, shareholder resolutions and written consents prepared by lawyers, administrators and local advisers
  • Maintaining corporate authorities, delegation frameworks and signing authorities
  • Overseeing director appointment and resignation processes
  • Supporting the implementation and maintenance of governance procedures and signature authority policies

Financing and capital markets

  • Supporting asset and portfolio-level financings and refinancings
  • Assisting with lender negotiations and financing restructurings
  • Supporting borrower-side due diligence exercises
  • Working with finance and tax teams on capital structure and funding matters
  • Assisting with investor funding, co-investment arrangements and asset-level capital calls

Fund structuring and fund operations

  • Supporting the establishment and ongoing administration of European fund structures
  • Coordinating the legal implementation of Luxembourg investment vehicles and related holding structures
  • Advising internal stakeholders on fund governance and operational matters
  • Supporting fund administration, governance and operational legal queries

Asset management legal support

  • Providing day-to-day legal support to asset management teams
  • Advising on property management arrangements and operational contracts
  • Assisting with disputes, defaults, restructurings and enforcement matters
  • Supporting property disposals and strategic asset initiatives

Commercial contracts

  • Preparing and negotiating NDAs and information-sharing arrangements
  • Drafting, negotiating and reviewing a broad range of commercial agreements
  • Negotiating engagement letters and terms of business with external advisers
  • Supporting commercial legal queries connected to investment, asset management and operational activity

Regulatory and compliance

  • Supporting regulatory compliance initiatives across the European platform
  • Assisting with AML, data protection and corporate compliance matters
  • Coordinating compliance training and policy implementation
  • Monitoring legal and regulatory developments affecting European operations
  • Supporting cross-border regulatory filings and approvals

The candidate

Candidates should ideally have:

  • Qualification as a solicitor in England & Wales or another relevant common law jurisdiction
  • Experience in private equity real estate, investment management, funds, finance or corporate transactions
  • Experience gained at a leading international law firm and/or in-house at a private equity, investment management or real estate platform
  • Exposure to transactions across multiple European jurisdictions
  • Strong drafting, review and transaction management skills
  • Good understanding of corporate governance and approval processes
  • The ability to coordinate external counsel, administrators and advisers across jurisdictions
  • Strong commercial judgement and the ability to identify practical legal risk
  • Confidence working with investment, finance, tax, compliance and asset management teams
  • High EQ, good judgement and a collaborative working style
