About the role

We’re looking for a Legal Counsel with banking and finance experience to join Verda’s legal team in London. You’ll take ownership of the legal workstream supporting our financing activity, debt facilities, security packages, and lender relationships, as we fund the build-out of AI and data-centre infrastructure across multiple jurisdictions.

This is a hands-on role in a scale-up environment. You’ll work directly with finance, treasury, and commercial teams, and alongside external counsel, to structure and document financings, manage covenant and reporting obligations, and keep our legal foundations solid as the balance sheet grows. It suits someone who enjoys transactional work but also wants breadth beyond pure finance. You will be exposed to a wide breadth of legal matters, from employment to commercial contracting on a global scale.

Your responsibilities

  • Draft, review, and negotiate banking and finance documentation, including facility agreements, security documents, intercreditor arrangements, guarantees, and ancillary finance papers
  • Support the execution of debt financings end to end; from term sheet and mandate stage through conditions precedent, signing, and closing mechanics
  • Advise on security packages and asset-backed structures, including securities over shares, receivables, contracts, and assets
  • Manage post-closing obligations, including covenant compliance, reporting undertakings, waivers, amendments, and utilisation mechanics
  • Coordinate and manage external counsel across jurisdictions on financing mandates, controlling scope, budget, and timetable
  • Advise on lender due diligence requests and prepare and review corporate authorisations and closing deliverables
  • Support treasury and finance colleagues on hedging, account structures, and cash-management arrangements
  • Assist on corporate and M&A matters where they intersect with financing, including acquisition finance, group reorganisations, and jurisdictional setup
  • Draft, review, and negotiate commercial contracts supporting the wider business, including NDAs, SaaS, infrastructure, and technology agreements
  • Act as a first point of contact for day-to-day legal queries from across the business, providing practical answers at pace
  • Support corporate governance and entity housekeeping, including board and shareholder resolutions, filings, and group structure maintenance
  • Advise on employment, procurement, and vendor matters, working with external specialists where needed
  • Advise on data protection and intellectual property questions arising in the course of the business, including UK GDPR compliance and IP protection and licensing
  • Develop internal templates, playbooks, and guidance to standardise recurring finance and commercial documentation

  • LLM or equivalent, with a law degree from an accredited programme
  • 2–5 years’ post-qualification experience in banking and finance, gained at a law firm or in-house, preferably both
  • Solid working knowledge of finance documentation, including facility agreements and security documents
  • Understanding of secured lending mechanics: conditions precedent, covenants, events of default, and enforcement
  • Ability to provide pragmatic, business-oriented legal advice in a fast-paced environment
  • Strong communication skills in English (written and verbal), with the ability to translate legal complexity into actionable guidance
  • High level of ownership, ethical judgement, and professionalism
  • Comfortable working cross-functionally
  • Ability to operate in a multi-jurisdictional context, including knowing when to escalate to external counsel

Nice to have

  • Experience in a technology, infrastructure, energy, or high-growth company environment
  • Exposure to project finance, infrastructure finance, or data-centre financing
  • Experience with acquisition finance or leveraged transactions
  • Exposure to equity raises, including venture or growth financing rounds and related shareholder documentation
  • Familiarity with UK financial services regulation (FCA/PRA perimeter questions)
  • Experience supporting international expansion or cross-border financings
  • Working knowledge of commercial technology contracting (SaaS, cloud, infrastructure)
  • Prior experience instructing and managing external counsel across jurisdictions
