Job Summary:

As Legal Counsel - Commercial & Corporate, you will play a key role supporting Supermicro’s business across EMEA. You will advise on legal and business risks, negotiate complex commercial transactions, and help the business build successful relationships with customers, partners, suppliers, and other stakeholders.

You will work closely with Sales, Operations, Product Management, Finance, Accounting, Compliance, and other teams to provide practical, commercially focused legal support. In addition to commercial contracting, you will support corporate governance, subsidiary management, compliance, and other general legal matters across the region.

Essential Duties and Responsibilities:

Commercial Contract Management

  • Draft, review, and negotiate a broad range of commercial agreements, including sales, procurement, channel, OEM, licensing, support, services, marketing, confidentiality, and strategic partnership agreements.
  • Work directly with customers, partners, suppliers, and their counsel to resolve issues and help transactions move efficiently toward execution.
  • Provide practical, business-oriented advice on legal and commercial risks and develop creative solutions that support business objectives.
  • Advise on contract interpretation, amendments, renewals, terminations, and commercial disputes as they arise.

Corporate and General Legal Support

  • Support Supermicro’s legal entities and business operations in EMEA, including corporate governance and corporate housekeeping matters.
  • Assist with board and shareholder approvals, director and officer changes, powers of attorney, entity records, intercompany arrangements, and other subsidiary matters.
  • Support corporate reorganizations, entity formations, restructurings, and other corporate projects as needed.
  • Provide practical advice on other general legal matters, which may include privacy, competition, employment, regulatory matters, and disputes.
  • Coordinate with local outside counsel and Supermicro’s global Legal team on jurisdiction-specific matters.

Process, Compliance, and Team Support

  • Assist in developing and improving form agreements, contracting standards, playbooks, approval processes, and legal best practices.
  • Identify opportunities to simplify and scale legal processes while maintaining appropriate controls.
  • Stay informed regarding laws, regulations, and industry standards affecting Supermicro’s commercial activities in the region.
  • Support compliance matters affecting commercial activity and go-to-market strategy, including export controls, economic sanctions, restricted-party and end-user considerations, and channel, distributor, reseller, and customer compliance requirements.
  • Partner with the Compliance team and business stakeholders to identify and address legal and compliance risks associated with new markets, customers, products, routes to market, and strategic transactions.
  • Serve as a trusted legal partner to business teams across EMEA and contribute to other legal projects as business needs evolve.

Qualifications:

  • Minimum of 7 years of relevant legal experience, preferably including in-house experience.
  • Qualification as a lawyer in England and Wales, the Netherlands, or another relevant European jurisdiction, or the US.
  • Significant experience drafting and negotiating complex commercial agreements.
  • Experience working directly with sales teams, customers, suppliers, partners, and other business stakeholders.
  • Experience with corporate governance, subsidiary management, corporate housekeeping, or other general corporate matters.
  • Experience advising on compliance matters relevant to commercial operations, such as export controls, sanctions, go-to-market compliance, or channel and customer due diligence, is preferred.
  • Ability to provide practical, concise, and commercially oriented legal advice.
  • Strong communication, negotiation, and influencing skills.
  • Excellent judgment, attention to detail, and ability to manage multiple matters in a fast-paced environment.
  • A collaborative, flexible, and problem-solving mindset.
  • Fluency in English.

Preferred Qualifications:

  • Experience in the technology, hardware, server, storage, cloud computing, AI infrastructure, or related industry.
  • Experience supporting an international or U.S.-headquartered company.
  • Familiarity with cross-border transactions and multiple European jurisdictions.
  • Experience with distribution, reseller, OEM, technology licensing, cloud, services, or strategic partnership agreements.
  • Dutch language skills for candidates based in the Netherlands are a plus.
