Legal Counsel – Corporate Restructuring
London | 9–12 Month Fixed-Term Contract
We are looking for a Corporate Legal Counsel to join our in-house Corporate Legal team on a 9–12 month fixed-term contract, with a primary focus on corporate restructuring projects across EMEA and APAC.
This is a highly visible role within a small, experienced team, offering the opportunity to work directly with senior stakeholders and take ownership of complex, often cross-border, corporate restructuring matters.
The Role
You will support the Group’s corporate restructuring strategy across BGC and Cantor Fitzgerald, including entity rationalisations, corporate simplifications, intercompany reorganisations, capital reductions, distributions, business transfers, liquidations and the deauthorisation of regulated entities.

You will act as a key legal adviser on transactions, working closely with Company Secretariat, Tax, Finance, Compliance and senior management. There may also be exposure to M&A, regulated entity set-up and other corporate projects.
Key responsibilities
- Lead and support corporate restructuring projects across EMEA and APAC.
- Draft and review restructuring documentation, including board minutes, loan agreements, dividend documentation, capital reduction documents and share capital restructuring materials.
- Advise on corporate structures, intercompany arrangements, business and asset transfers.
- Manage external counsel and legal spend on assigned matters.
- Support regulatory change-of-control processes and other corporate projects as required.
- Work closely with internal stakeholders across Legal, Finance, Tax, Compliance and Company Secretariat.

Skills and experience
- English or Commonwealth-qualified lawyer with at least two years’ PQE in corporate law, restructuring and/or M&A.
- Demonstrable experience of corporate restructuring, reorganisations or complex intercompany transactions.
- Cross-border transaction experience is desirable.
- Financial services experience would be beneficial, but is not essential.
- Strong drafting skills, sound commercial judgement and the confidence to manage matters independently.
- Comfortable working at pace, managing competing priorities and advising senior stakeholders.
