Coopman Search are partnering with a leading global private markets firm, who are seeking a fund formation lawyer to join their London office.

This is a fantastic opportunity to play a key role in the continued growth of the firm's global private funds platform, advising on the establishment, structuring and ongoing development of investment funds across a range of private markets strategies.

Working closely with Investment, Product, Tax, Compliance, Distribution and external counsel teams, you will advise on sophisticated fund formation matters, investor negotiations and new product launches in a fast-paced, collaborative global environment.

Key Responsibilities:

  • Advise on the formation, structuring & launch of private investment funds & related vehicles.
  • Draft and negotiate fund documentation, including LPAs, subscription agreements, offering documents and side letters.
  • Advise on fund terms, governance arrangements, carried interest & investor-specific requirements.
  • Support the launch of new private markets products & investment strategies across multiple jurisdictions.
  • Manage negotiations with institutional investors & their advisers.
  • Work closely with Investment, Product, Tax, Compliance and Distribution teams on fund-related matters.
  • Coordinate with external counsel across multiple jurisdictions & manage complex, multi-jurisdictional matters.
  • Advise on ongoing legal matters throughout the fund lifecycle.
  • Support the firm's broader strategic initiatives across its global private markets platform.

Experience Required:

  • Qualified lawyer with strong fund formation/private funds experience, ideally gained within a leading international law firm or major asset manager/private markets firm.
  • Strong knowledge of private investment fund structures & the fund formation process.
  • Experience drafting and negotiating LPAs, side letters, subscription agreements & offering documentation.
  • Experience advising institutional investors & managing complex investor negotiations.
  • Strong commercial judgement with the ability to provide pragmatic, solutions-focused legal advice.
  • Excellent communication & stakeholder management skills.
  • Experience working across multiple jurisdictions and with international teams would be advantageous.
