About the Role
Join Swiss Re’s Global Transactions & Legal Governance Team in a global legal role where you’ll help shape the most strategic and complex reinsurance and alternative capital transactions, including:
- Insurance-linked securities (ILS)
- Structured reinsurance
- Retrocession
- Collateralised solutions
- Legacy portfolio transactions
- Capital management frameworks
As Legal Counsel, you will:
- Collaborate closely with structurers, actuaries, underwriters, and client managers to provide legal expertise at every stage of transactions — from structuring to execution.
- Ensure compliance, governance, and robust risk management standards are upheld.
- Drive innovative, real commercial outcomes in an international environment.
Key Responsibilities

Provide expert legal advice on:
- Reinsurance and alternative capital transactions (including insurance-linked securities, collateralised structures, retrocession, and legacy portfolio transactions)
- Legal and regulatory due diligence across global markets
- Cross-border compliance challenges

Draft, review, and negotiate contracts and legal documents throughout the transaction lifecycle.

Coordinate multidisciplinary teams across Legal, Tax, Accounting, Finance, Risk, and Compliance for seamless transaction execution.

Contribute to the development of:
- Swiss Re’s transaction frameworks, legal templates, negotiation strategies, and best practices

Support transaction governance:
- Prepare approval materials
- Identify and escalate legal/regulatory risks to senior management
- Ensure compliance with evolving regulations

Monitor legal/regulatory trends and proactively advise stakeholders on emerging developments.

Instruct and manage external counsel to ensure quality and cost-effectiveness.

Facilitate international coordination of legal and regulatory issues while maintaining Swiss Re’s frameworks.

Deliver internal presentations and training on legal topics, sharing knowledge across the organisation.

Serve as a trusted advisor to business stakeholders, from deal origin to implementation.

Provide timely reporting on legal matters (risks, progress, outcomes) to senior leaders.
About the Team
This role resides within Swiss Re’s P&C & L&H Transactions Legal Team, part of the broader Global Transactions & Legal Governance Team.
- Supports retrocession transactions alongside Property & Casualty (P&C) and Life & Health (L&H) ventures.
- Works at the nexus of legal expertise and commercial strategy, partnering with structurers, actuaries, and underwriters to deliver innovative risk transfer solutions globally.

About You
You are an aspiring lawyer with the following profile:
Requirements
- Fully qualified lawyer (Bar exam) in UK/Switzerland or equivalent in another legal jurisdiction preferred.
- Minimum of five years’ post-qualification experience, ideally in:
- Law firms
- In-house (re)insurance legal roles
- Demonstrable expertise in:
- (Re)insurance transactional law
- Relevant corporate/commercial regulations
- Structured finance and collateral frameworks (collateralised reinsurance, legacies)
- Cross-border regulatory expertise:
- Familiarity with international law compliance challenges
- Exceptional legal writing, negotiation, and communication skills (clear for technical and non-technical audiences).
- Fluent in English (written & spoken); itional language skills are a bonus.

- Alternative capital/risk structures (ILS, collateral/priority structures)
- Legacy portfolio transactions

- Ability to:
- Instruct external counsel strategically

- Manage complex deals/multiple-matters timelines independently
- Lead knowledge-sharing sessions through proactivity and training
- Strong teamwork and relationship-building skills.
Salary Information (London-Based Role)
- Base salary range: £94,000 – £140,000 (full-time).

- Additional performance-based variable compensation component.
