As Legal Counsel – OFSE, Integration & Solutions (I&S), you will report to the I&S Segment Legal Senior Director and provide legal support for assigned commercial matters across I&S. The role will focus on practical, solution-oriented legal support for commercial contracting, vendor and subcontractor arrangements, advisory services, collaboration structures, project execution risks, and related business initiatives. You will work closely with cross-functional stakeholders, senior legal counsel, and relevant subject-matter counsel to support business objectives, enable efficient matter execution, and help ensure alignment with legal, regulatory, compliance, and company policies and procedures.

As Legal Counsel – I&S (OFSE), you will be responsible for:

  • Providing legal support for assigned commercial matters across I&S within the designated region, including assigned matters involving integrated projects, Gaffney Cline advisory services and New Energies opportunities, as needed, in coordination with the I&S Segment Legal Senior Director and relevant subject-matter counsel, as appropriate.
  • Drafting, reviewing, and negotiating I&S commercial agreements, including subcontracts, service agreements, vendor contracts, NDAs, MOUs, collaboration agreements, and customer-facing agreements, in coordination with other senior legal counsel as appropriate.
  • Advising on subcontracting, vendor, sourcing, and project execution matters for integrated projects and other assigned I&S opportunities, including coordination with Supply Chain, Sourcing, Project Management, Risk, Commercial, and other internal functions.
  • Supporting appropriate flow-down and back-to-back contractual terms with vendors, subcontractors, and suppliers.
  • Delivering practical, solution-oriented legal advice aligned with operational and commercial realities while helping manage contractual and execution risk throughout the project lifecycle.
  • Contributing to templates, contracting processes, governance materials, and best practices in coordination with senior legal counsel and relevant business stakeholders.
  • Escalating high-risk, precedent-setting, strategic, or specialized matters to senior legal leadership or the appropriate subject-matter experts.
  • Supporting the drafting and negotiation of other OFSE customer-facing commercial agreements within the designated region, in coordination with the OFSE Legal Commercial CoE and other senior legal counsel as appropriate.
  • Supporting other OFSE sourcing-related legal matters in collaboration with the broader OFSE Sourcing Legal team.

To be successful in this role you will:

  • Hold a law degree or equivalent legal qualification and be duly qualified, admitted, or otherwise authorized to practice law in at least one applicable jurisdiction.
  • Have a minimum of 4 years of relevant commercial legal experience, with demonstrated ability to independently draft, review, negotiate, and advise on complex commercial agreements and business-critical matters.
  • Demonstrate a strong commitment to integrity, compliance, and professional ethics.
  • Be self-motivated, proactive, and able to manage assigned matters independently, exercising sound judgment in prioritizing issues, advising stakeholders, and escalating elevated risk matters as appropriate.
  • Communicate complex legal issues clearly and effectively to diverse stakeholders, both verbally and in writing.
  • Operate successfully in a fast-paced, matrixed, multi-stakeholder environment.
  • Collaborate effectively across functions and regions to deliver aligned outcomes.
  • Apply a pragmatic, solution-focused mindset to balancing risk management with business enablement.
  • Demonstrate adaptability, sound judgment, and a collaborative approach in a dynamic business environment.
  • Exceptional written and verbal English communication skills, including the ability to draft, review and negotiate complex commercial agreements and provide clear, practical legal advice to business stakeholders.
  • Experience supporting complex commercial transactions, integrated projects, advisory services, or technically complex project delivery models is desired.
  • Familiarity with international contracting and cross-border project execution is desired.
  • Ability to engage effectively with commercial, operational, and legal stakeholders, including senior stakeholders, and provide clear, risk-based recommendations is desired.
  • Ability to manage multiple complex priorities while maintaining attention to detail, legal quality, responsiveness, and sound commercial judgment is desired.
  • Spanish and Portuguese fluency for candidates based in Latin America.
