Legal Counsel (Data Privacy & Governance) – UK-Based
Location: Remote (UK-based) Team: Legal & Governance Mission: Shape Proximie’s legal and governance framework to ensure the company’s innovative healthcare tech platform operates with trust, compliance, and responsible data stewardship.

Key Responsibilities
You’ll leverage your legal and commercial expertise to safeguard patient privacy, ensure regulatory compliance, and enable ethical innovation in high-stakes AI and healthcare data. Key tasks include:
Data Privacy & Governance
- Serve as Proximie’s primary legal advisor on data protection, interpreting and advising on:
- UK GDPR, Data Protection Act 2018, and international stakeholders
- NHS frameworks, including Data Security and Protection Toolkit (DSPT), NHS data access policies, and compliance with NHS England guidance
- Resolve complex data flows, AI model training, anonymisation, and IP ownership challenges
- Support information security standards (SOC 2, ISO 27001)
- Lead (or fulfil) Data Protection Officer (DPO) responsibilities when required
- Monitor emerging AI/ML regulations and advise on federated learning, responsible AI, and bias mitigation

Commercial & Contractual Reviews
- Draft, review, and negotiate B2B contracts, including:
- SaaS agreements
- Data Processing Agreements (DPAs)
- NHS trust partnerships, supplier contracts, and global healthcare collaborations
- Develop contract templates, legal playbooks, and SOPs to streamline deal-making
- Provide risk-based advice for high-pace tech commercialisation
Strategic Leadership & Influence
- Partner closely with senior leaders (CTO, CCO, CFO) to craft data governance frameworks, including:
- Privacy-by-design principles
- AI ethics and compliance strategies
- Shape scalable legal processes aligned with UK high-growth healthtech objectives
- Represent Proximie in external engagements, such as NHS procurement dialogues or tech industry forums
Requirements
Essential
- 3–6 years’ post-qualifying experience (PQE) as an England & Wales solicitor (or equivalent in-house role)
- UK GDPR expertise, hands-on experience with:
- Drafting data processing agreements
- Cross-border data transfer mechanisms
- DPO advisory (or proven capacity to take on role)
- NHS knowledge: Prior work with healthcare bodies or deep familiarity with NHS contracting/regulatory frameworks
- Thinkers & builders: Either technical acumen (e.g. degree in CS, engineering) or strong aptitude for grasping AI systems, software architecture, and data infrastructure
- Commercial savvy: Experience advising SaaS/tech or life sciences clients

Bonus Points
- AI/ML legal experience (training data, liability, explainability)
- A-commerce** or NHS procurement expertise (e.g., G-Cloud, Shared Business Services)
- Technical in-house experience in high-growth health/healthcare sectors
- Familiarity with medical device/clinical software regulations (UK MDR/IVDR or EU MDR/IVDR compliance under UKCA marking)
