The Role

The Legal Transformation Lead is a senior, high-impact role within the Alter Domus Group Legal team, sitting at the intersection of legal practice, corporate development, and operational change. Reporting directly to the Group Head of Legal, this role owns three interconnected mandates: leading the legal aspects of M&A and corporate transactions, building and maintaining the legal team's performance metrics and reporting framework, and driving the operational transformation of the legal function as the business scales.

This is not a conventional in-house counsel role. The successful candidate will combine strong transactional legal skills with the commercial mindset and program management capability of a business transformation leader.

Primary Responsibilities

M&A and Corporate Transactions

  • Lead legal workstreams on acquisitions, disposals, joint ventures, liftouts, and corporate restructurings across the group, coordinating internal teams and external counsel from mandate through to completion
  • Conduct and manage legal due diligence on target entities, including review of fund administration contracts, DCM documentation, regulatory authorisations, employment arrangements and material agreements
  • In line with outside counsel, review and negotiate transaction documentation including SPAs, shareholders' agreements, merger protocols and ancillary documents
  • Manage post-completion integration from a legal perspective — entity rationalisation, contract novation, regulatory notifications and transition service agreements
  • Brief the Group Head of Legal and Board on transaction risk, legal structuring options and deal timeline

Legal Transformation and Change Management

  • Lead the legal transformation program — defining the roadmap, prioritizing initiatives and driving execution across the legal team, coordinating with all legal verticals and, in particular, the Head of

Legal Quality Control

  • Help design and implement standardized processes, workflows and intake models for legal service delivery across all business lines
  • Evaluate, select and implement legal technology solutions (contract lifecycle management, matter management, e-billing, AI-enabled tools) in partnership with IT and operations
  • Drive adoption of new tools and processes through training, communication and stakeholder engagement across the legal team and the wider business
  • Identify opportunities to right-source legal work — optimizing the balance between in-house delivery, external counsel and alternative legal service providers
  • Champion a data-driven, continuous improvement culture within the legal team
  • Act as the legal team's primary interface with Lines of Business, Finance and Technology on shared transformation initiatives

Legal Metrics, Reporting and Performance Management

  • Design and own the legal team's KPI and metrics framework — tracking matter volumes, turnaround times, outside counsel spend, contract cycle times, regulatory filings and team capacity
  • Build and maintain dashboards and management reports for the legal team and senior leadership, providing real-time visibility into legal team performance and risk exposure
  • Produce regular board reporting on legal matters, M&A pipeline, key risks and transformation progress
  • Identify and report on trends and systemic issues arising from legal data — feeding insights back into process improvement and resource planning

Personal Attributes

Essential

  • Qualified lawyer with 6–10+ years' post-qualification experience, ideally with a mix of private practice (M&A / corporate) and in-house
  • Proven track record of leading M&A transactions end-to-end, including due diligence, documentation and post-completion integration
  • Experience in financial services — understanding of fund administration, capital markets or asset management structures is strongly preferred
  • Demonstrated ability to design and implement processes, systems or change programs within a legal or operational context
  • Strong data literacy — comfortable building and interpreting metrics, dashboards and management reports
  • Excellent program and project management skills — able to manage multiple workstreams simultaneously in a fast-paced environment
  • Strong stakeholder management and communication skills — credible at both Board level and with operational teams

Desirable

  • Experience operating across civil law and common law jurisdictions (particularly Luxembourg, Ireland, UK)
  • Familiarity with legal technology platforms (e.g., CLM, matter management, e-billing tools)
  • Exposure to regulatory approval processes in connection with M&A in financial services (CSSF, CBI, FCA)
  • Experience working in or alongside a PE-backed or high-growth financial services business

  • The legal function is seen across the business as a proactive, commercially-oriented partner — not a bottleneck
  • A transformation roadmap is in place, with measurable milestones and genuine adoption across the team
