Executive Summary

Role Title: M&A Associate

Function: M&A

Contract: Permanent

Location: London

We are currently hiring for an M&A Associate to join the Group M&A team in London. Reporting to the Group Head, the M&A Associate will play a key role in evaluating and executing strategic transactions across Europe, including acquisitions, portfolio transfers and reinsurance opportunities.

The role-holder will also have the opportunity to collaborate with stakeholders across the business, helping shape investment decisions through financial analysis, valuation, due diligence and strategic insight.

This would be best-suited for an analytically strong professional with investment banking, private equity or corporate finance experience to work on high-profile transactions within a growing business.

Purpose of this Role

The M&A Associate works on a broad range of investment opportunities through M&A, portfolio transfers and reinsurance for Athora across Europe. In order to understand the value proposition and risks associated with any investment, the M&A Associate must analyse diligence data, scrutinize business trends, collaborate with Athora’s local businesses, construct investment models and present an investment thesis and analyses to senior management. Additionally, the M&A Associate may support the preparation of a strategic evaluation of a product or Line of Business of Athora’s existing local businesses. Responsibilities include financial modelling and analysis, company and industry research, and idea generation. The M&A Associate works in full coordination with the M&A team (Head of M&A, Senior Director) and relevant subject matter experts from Group and from business units.

Key Responsibilities & Contribution Areas

  • Conducting financial modelling and analysis incorporating various business projections and capital structures, while stress testing critical assumptions
  • Build valuations and sensitivities based on assumptions and modelling signed off with the rest of the Athora project team, relevant individuals in Group Finance and leadership
  • Performing company and industry due diligence, including risk assessment and quantitative & qualitative analysis of business and market trends
  • Develop memoranda and materials with senior team members
  • Presenting and participating in meetings, including communicating analyses effectively to senior management
  • Partnering with external due diligence advisors such as accountants, tax experts, consultants and lawyers
  • Working with Corporate Finance and other Group Finance to confirm impacts, incl rating and financing needs if any
  • Analysing business performance trends of prospective investments
  • Producing comprehensive pricing slide decks and required documentation
  • Running the transaction SAA & liabilities through the asset model for quotations to support Key Rate/DV01 analysis
  • Maintaining internal pricing audit trail (e.g. update quote databases, store final models, documentation etc.).
  • Assist the team with additional ad hoc projects

Personal Capabilities Required

  • Ability to take initiative and support running a process to conclusion
  • Strong multi-tasking skills and attention to detail
  • Excels in a rigorous and fast-paced team-oriented work environment
  • Outstanding communication skills with the ability to articulate and present complex information to key internal and external stakeholders in a clear and concise manner

Functional or Technical Knowledge and Skills Required

  • 2+ years in banking / PE, with a focus on life insurance M&A a significant plus
  • Bachelor’s degree with an exceptional record of academic achievement
  • Strong modelling, analytical, valuation and problem-solving skills
  • Excel and modelling experience with any coding experience as a bonus e.g. VBA/Python etc.
  • Fluency in any European language relevant to Athora would be a distinct advantage
  • Actuarial or fixed-income knowledge / background is a plus
  • Willingness to travel
