We are partnering with a leading transactions advisory firm that is looking to strengthen its Sale & Purchase Agreement (SPA) Advisory team with the appointment of a Manager or Senior Manager.
This is an excellent opportunity for an experienced transaction professional to join a growing practice that advises corporates, private equity investors, and management teams throughout the M&A lifecycle. The team works on complex and high-profile transactions, providing commercial and financial advice before, during, and after deals.
The Role
As a Manager or Senior Manager, you will play a key role in delivering client engagements, advising on the financial and commercial implications of SPA provisions, and helping clients navigate critical deal-related decisions.
Key Responsibilities
- Lead SPA-related workstreams across buy-side and sell-side transactions.
- Advise clients on transaction pricing mechanisms, including completion accounts, locked box structures, and earn-out arrangements.
- Review and analyse Sale & Purchase Agreements to identify key financial risks and value drivers.
- Support clients through transaction execution and post-completion matters, including completion accounts, claims, and dispute resolution.
- Develop and maintain strong relationships with clients, investors, legal advisors, and other stakeholders.
- Work closely with Transaction Services, Corporate Finance, Tax, and other advisory teams to deliver integrated solutions.
- Support business development activities by identifying opportunities and contributing to client proposals and pitches.
- Coach, mentor, and develop junior team members.
- Contribute to practice development initiatives and help drive the continued growth of the team.

Candidate Profile
- Experience within SPA Advisory, Transaction Services, Deal Advisory, Corporate Finance, or a related M&A environment.
- Strong understanding of completion accounts, locked box mechanisms, working capital adjustments, and earn-out provisions.
- ACA or equivalent professional qualification.
- Experience gained within a professional services, advisory, consulting, or accounting environment.
- Strong analytical, commercial, and problem-solving skills.
- Excellent communication and stakeholder management abilities.
- Experience managing multiple workstreams and delivering high-quality client outcomes in a fast-paced environment.
- A collaborative approach and a desire to take on broader leadership responsibilities as part of a growing team.
