Position: Member of Legal Staff, Corporate Counsel

Type: Full-time

Compensation: $225K - $275K/yr

Location: Remote

Commitment: 10-40 hrs/week

Role Responsibilities

  • Support venture financings, secondary transactions, board and stockholder approvals, and other corporate matters, including drafting documents and coordinating with outside counsel.
  • Own transaction execution from signatures, checklists, and document circulation through closing sets and post-closing matters.
  • Maintain the company's master data room and ensure corporate records remain accurate, organized, and current.
  • Manage corporate governance and entity administration, including state filings, annual reports, minute books, organizational documents, and subsidiary records.
  • Administer cap tables, equity plans, and equity grants, including grants, exercises, transfers, cancellations, and reconciliation of equity records.
  • Design AI-enabled legal intake and triage workflows, particularly for a highly asynchronous and Slack-driven environment.
  • Build self-service tools, templates, playbooks, and automation for recurring legal processes such as NDAs, approvals, and signature requests.
  • Identify repetitive legal work and develop systems that make the legal function faster, more accurate, and more scalable.

Requirements

  • Significant experience supporting venture capital financings, M&A, or similar corporate transactions, with strong knowledge of transaction documents, approvals, and closing processes.
  • Strong experience with corporate governance, entity management, state filings, cap tables, and equity administration.
  • Exceptional organization and attention to detail, with the ability to independently drive matters from start to finish.
  • Strong drafting, proofreading, project management, and communication skills.
  • Genuine interest in AI, legal technology, workflow design, and automation.
  • Strong judgment and the ability to identify issues that require escalation or outside counsel.
  • A hands-on, collaborative approach and willingness to work across both legal and operational responsibilities.
  • Comfort operating autonomously in a fast-paced, highly asynchronous environment.
