Role: Mergers & Acquisitions Attorney (Remote)
Location: Remote (Work from Anywhere)
Job Type: Contract
Payout: $140 - $400/hour

Role Overview:
We are hiring for one of our clients, seeking a Mergers & Acquisitions (M&A) Attorney to work on a contract basis. The role involves providing legal expertise to support strategic transactions, including mergers, acquisitions, and divestitures. Responsibilities include drafting, negotiating, and reviewing transactional documents while ensuring compliance with regulatory requirements.

Key Responsibilities:

  • Draft, negotiate, and finalize M&A transaction documents, including purchase agreements, asset purchase agreements, and stock purchase agreements.
  • Conduct legal due diligence on target companies to identify risks and liabilities.
  • Advise on corporate governance, securities laws, and regulatory compliance related to M&A transactions.
  • Collaborate with cross-functional teams, including finance, operations, and executive leadership, to structure and execute deals.
  • Provide guidance on post-merger integration and restructuring to ensure seamless transitions.

Required Skills & Qualifications:

  • Juris Doctor (JD) degree from an accredited law school and active bar membership in any U.S. jurisdiction.
  • Minimum of 5 years of experience in M&A transactions, with a focus on corporate law and securities regulations.
  • Strong drafting and negotiation skills, with a proven ability to interpret complex legal and financial terms.
  • Experience with domestic and international transactions, including cross-border M&A.
  • Familiarity with SEC filings, disclosure requirements, and compliance frameworks.
