Sell-Side M&A Project Manager

This is a hands-on Individual Contributor role with an established technology company.

This position will take ownership of the transaction project lifecycle, from initial sell-side preparation and due diligence through financial close, separation and post-sale transition. The successful candidate will have strong experience within sell-side M&A, divestments or carve-outs, coordinating senior internal stakeholders alongside investment bankers, financial advisers, legal counsel and prospective buyers.

This is a 100% remote contract opportunity offering an immediate start (within 1-2 weeks after virtual interview)

Key Responsibilities

  • Manage the end-to-end sell-side transaction plan, milestones, dependencies and workstreams from deal preparation through financial close and transition.
  • Act as the central coordination point between executive leadership, internal functions, financial advisers, investment bankers, lawyers, accountants and prospective buyers.
  • Coordinate preparation of transaction materials including teasers, Confidential Information Memorandums (CIMs) and supporting documentation.
  • Oversee the creation, population and management of the Virtual Data Room (VDR).
  • Coordinate financial, commercial, operational, technology and other vendor due diligence activities.
  • Manage buyer Q&A processes and ensure information requests are addressed accurately and within agreed timelines.
  • Organise management presentations, bidder meetings and other transaction-related engagements.
  • Monitor bidder activity and engagement throughout the transaction process.
  • Lead separation planning for divestments and carve-outs, identifying operational, commercial, technology and people-related dependencies.
  • Coordinate Transition Service Agreements (TSAs), exit requirements and separation plans where applicable.
  • Establish clear ownership and track actions required to achieve legal and operational separation.
  • Manage and monitor Day 1 and Day 100 readiness and separation activities.
  • Coordinate post-sale transition activities while minimising disruption to customers, employees and business partners.
  • Maintain transaction governance including RAID logs, decision registers, programme plans and executive dashboards.

Essential Experience

  • Proven Project or Programme Management experience within M&A, divestments, carve-outs or complex corporate transactions.
  • Strong sell-side M&A experience, ideally involving the disposal of a business, business unit or line of business.
  • Experience managing transactions from preparation and due diligence through close, separation and transition.
  • Experience coordinating third-party advisers including investment banks, financial advisers, legal counsel, accountants and/or consulting firms.
  • Practical experience of transaction documentation and processes such as CIMs, VDRs, due diligence, LOIs and SPAs.
  • Strong project governance, planning, RAID management and executive reporting capabilities.

Desirable Experience

  • Experience within telecommunications, technology, infrastructure or utilities.
  • Direct experience of business separation and carve-out programmes.
  • Knowledge of Transition Service Agreements (TSAs), Day 1 readiness and Day 100 planning.
  • Experience working within Private Equity or investor-backed organisations.
  • PRINCE2, MSP, Agile or equivalent project/programme management qualification.

Key Competencies

  • Able to establish governance, structure and accountability across complex transactions.
  • Commercially focused with an understanding of transaction value drivers.
  • Confident operating with Executive Leadership and external advisers.
  • Able to identify transaction and separation risks early and drive actions to resolution.
  • Comfortable operating within confidential, fast-moving and evolving M&A environments.
  • Highly organised with the ability to manage multiple workstreams and competing priorities while maintaining accuracy.
