Under the terms of the Bank’s standard Non-Executive Director service agreements, NEDs are expected to devote such time as is necessary for the proper discharge of their duties, with an anticipated minimum commitment of two days per month, increasing where additional responsibilities (including committee chair roles) are undertaken or during periods of heightened activity.

The Chair of the Audit Committee provides independent leadership and oversight of the Bank’s financial reporting, relevant internal controls, audit processes, and regulatory compliance. Operating in a highly regulated environment with a bespoke lending model, the role is critical in supporting robust governance while enabling the Bank’s strategic growth ambitions, including complex corporate activity and engagement with sophisticated investors. The Audit Chair will work closely with the Board, executive management, regulators, external auditors, internal auditors, and shareholders to ensure transparency, financial integrity, and disciplined risk management in a fast-paced and evolving business. The scope and intensity of the role will be exercised in a proportionate manner, reflecting the Bank’s stage of development, size and complexity.
