The Opportunity
Aztec Group, a premium provider of private markets services, is seeking a distinguished Non-Executive Board Member to provide strategic oversight during a period of transformational growth. Backed by Warburg Pincus and led by new CEO Benjamin Lucas, we are scaling our global operations. This is a rare opportunity to shape board-level decisions on capital allocation, M&A, and international expansion while continuing your current executive role.
The Mandate
You will provide independent oversight and counsel on our most consequential decisions. Your expertise in treasury, capital structure, and financial risk governance will be particularly valuable as we scale.

Key Responsibilities
- Governance & Risk: Strengthen fiduciary oversight and resilience frameworks.
- Capital & Investment Strategy: Advise on asset allocation and capital management.
- M&A & Growth: Guide acquisition strategies and post-merger integration.
- International Scaling: Navigate complex regulatory landscapes across the UK, US, and EU.
Ideal Candidate
- 15+ years of senior finance experience (Group Treasurer, CFO, or CIO level).
- Proven track record in capital structuring, liquidity management, and financial risk.
- Experience with multi-entity governance and cross-jurisdictional reporting.
- Board or Audit Committee exposure preferred.
- Strategic thinker with independent perspective and high integrity.

Commitment & Compensation
- Time: 1–2 virtual board meetings per quarter (90 mins each), plus occasional document reviews (2–4 hrs/month).
- Retreat: One annual in-person board retreat — all expenses paid.
- Compensation: Competitive annual board retainer, committee fees, and meeting attendance fees. Travel and expenses fully covered.
