Paralegal Assistant - London Financial Sponsors Portfolio Team

Provides comprehensive paralegal assistance to partners and attorneys in the London Financial Sponsors portfolio team, primarily supporting portfolio companies throughout the investment hold period (rather than executing acquisitions or exits). The role includes ownership of allocated portfolio companies, direct contact with sponsors, portfolio company management teams and other senior stakeholders, and varied ad hoc support across companies of widely varying size and complexity. Tasks predominantly relate to document preparation, coordination, production, distribution and legal research, with limited supervision.

Essential Functions

  • Provide paralegal support to partners, associates and senior legal assistants across the private equity department
  • Conduct Companies House searches and review filings; draft and file Companies House forms
  • Review and analyse historic transaction, equity and constitutional documents
  • Draft ancillary documents e.g. board minutes, shareholder approvals, director resignation letters, subscription documents and stock transfer forms
  • Maintain documents and trackers, such as share registers, cap tables and group structure charts
  • Provide support on variety of portfolio matters, such as management equity joiner and leaver workstreams
  • Email clients and participate in calls with sponsors, management teams and other senior stakeholders
  • Coordinate document packs and execution of documents
  • Coordinate KYC and compliance processes
  • Draft cover letters and correspondence with counterparties e.g. local counsel, HMRC, company secretary and management teams
  • Draft fee updates and liaise with internal billing team
  • Proofread documents for sense, consistency, cross references, formatting and typographical errors
  • Review attorney comments, edit documents and run blacklines
  • Coordinate document delivery and other process logistics as required
  • Create, organise and update precedent and transaction bibles
  • Maintain orderly electronic matter files and document-management records
  • Seek to improve workflow and create and maintain paralegal department know-how files
  • Comply with Firm operation, policies and procedures
  • Perform other related duties as assigned

Knowledge, Skills, and Abilities

  • Strong knowledge of MS Word and Excel with technology awareness and the ability to learn new software and operating systems
  • Excellent analytical, troubleshooting and planning skills
  • Effective interpersonal and communication skills, both verbally and in writing
  • Superior organisational skills to manage multiple assignments and senior stakeholder relationships across portfolio companies of widely varying size and complexity, and deliver on time
  • Ability to pay close attention to detail and performs with high degree of consistent accuracy
  • Strong initiative and assumes a high level of responsibility for allocated portfolio companies and assigned tasks, escalating legal issues as appropriate
  • Ability to navigate various electronic databases, virtual data rooms and document review platforms
  • Strong research skills and proficiency in using various research tools, including Westlaw UK, Lexis Library, Practical Law, company registries and other court related websites
  • Ability to handle sensitive matters and maintain confidentiality
  • Ability to use discretion and exercise independent and sound judgment
  • Ability to work well independently as well as effectively within a team
  • Ability to work well in a demanding and fast-paced environment
  • Ability to organize and prioritize work
  • Ability to deal courteously/effectively with others
  • Ability to enhance the paralegal department through exceptional client service
  • Flexibility to travel as required
  • Flexibility to adjust hours and work the hours necessary to meet operating and business needs

Education and Experience Required

  • Legal Practice Course with corporate electives
  • Law degree / Graduate Diploma in Law or similar
  • Minimum of one and up to three (1 – 3) years of experience in a corporate paralegal position or a position requiring similar skillset, expertise and experience
