Role Overview
We are looking for an experienced Private Equity and Investment Funds Attorney to review, analyse, and draft complex legal materials across fund formation, M&A, asset management, finance, technology, and commercial contracts. You will identify key risks, explain contractual language, and create practical examples that help improve AI understanding of sophisticated legal matters. Previous AI experience is not required.

HOURLY RATE
$90 - $130/h
Responsibilities
- Review and annotate transactional agreements, including LPAs, side letters, SPAs, APAs, DPAs, MSAs, and NDAs.
- Analyse legal terms, obligations, negotiation points, and commercial risks.
- Draft sample clauses and practical contract examples.
- Review credit agreements, banking documents, leases, employment agreements, and IP licences.
- Evaluate SaaS, cloud, data privacy, and technology-related contracts.
- Provide structured feedback on contract drafting and enforceability.
- Explain complex legal concepts in clear and practical language.
- Identify market standards, sector-specific issues, and drafting best practices.
- Collaborate with other legal experts to improve the quality of project materials

Requirements
- JD from an accredited law school, or an LLM with highly relevant experience.
- At least 8 years of experience in private equity, investment funds, M&A, asset management, or related transactional law.
- Strong experience drafting and reviewing complex commercial and investment agreements.
- Working knowledge of fund documents, including LPAs and side letters.
- Experience with at least two of the following: banking and finance, SaaS and technology contracts, data privacy, or corporate transactions
- Experience advising private equity funds, asset managers, institutional investors, or portfolio companies
