Job Profile Summary

We are seeking a motivated, detail-oriented individual to join our Proxy Voting team as a senior operational lead. This role combines technical expertise with day-to-day oversight, ensuring efficient management of complex proxy voting workflows while championing data quality, stakeholder engagement, and process improvements.

The ideal candidate will:

  • Lead an end-to-end proxy voting governance function, balancing accuracy, timing, and strategic oversight.
  • Supervise and develop the proxy voting team, fostering workload allocation, training, and continuous improvement.
  • Act as a technical and regulatory expert on proxy platforms (e.g., Glass Lewis), supporting administration, technical troubleshooting, and user onboarding.
  • Maintain rigorous data quality, reconciliation, and audit controls while ensuring compliance with regulatory and client-specific voting policies.
  • Engage actively with internal stakeholders (Portfolio Management, Legal, ESG teams) and external partners (custodians, brokers, issuers) to facilitate seamless voting execution.

Responsibility ranges from day-to-day execution to long-term transformation, including automation, workflow optimisation, and governance reporting.


Key Responsibilities

Operational Excellence & Voting Workflow Management

  • Oversee full-cycle proxy voting for Man Group’s accounts, ensuring:
    • Accuracy and timely completion across all high-priority, complex, or urgent voting events.
    • Alignment with client and regulatory guidelines, particularly for strategic investors and large portfolios.
  • Identify and mitigate risks or compliance gaps at each stage of the voting lifecycle.
  • Maintain independence from portfolio managers, acting as a neutral enforcer of procedures and deadlines.

Team Leadership & Development

  • Provide daily guidance, mentorship, and quality oversight to the proxy voting team.
  • delegate tasks based on expertise and workload, balancing efficiency with skill development.
  • Conduct audits and review workflows to sustain consistency in output quality.

Technical Platforms & Automation

  • Serve as the subject matter expert (SME) for proxy voting platforms (e.g. Glass Lewis, ISS Proxy Exchange), including:
    • User onboarding, training, and technical troubleshooting.
    • Implementation and validation of platform updates, ensuring seamless system adjustments.
    • Collaboration with IT to explore automation opportunities in workflows or data processing.

Data Quality & Compliance

  • Lead data standards and remediation efforts, ensuring:
    • Real-time validations and reconciliation of downloaded voting data (e.g., registrations, votes cast).
    • Automation of checks against reconciliation templates,ocllecting evidence to verify completeness and accuracy.
  • Define and enforce standardised reporting templates and naming conventions.
  • Oversee audit trails for compliance reporting (e.g., GPX reporting, exemptions filings).
  • Flag and escalate systematic issues or deviations from regulatory requirements or voting policies.

Governance & Reporting

  • Prepare regulatory submission materials and internal governance reports (e.g., MIS dashboards).

  • Drive consistency in voting strategy (双定Dual Mandates, ESG voting guidelines) to align with client and firm objectives.

  • Maintain alignment with new GIS taxonomies and/or UK-ISSions tick box updates.

Stakeholder Engagement

  • Collaborate internally with:
    • Portfolio Management teams to ensure voting decisions align with active strategies.
    • Legal & Compliance to interpret regulations (e.g., SRD II, ERISA, SEC) and mitigate risks.
    • ESG & Responsible Investment teams to incorporate sustainability principles in voting.
  • Communicate externally with brokers, proxy agents, custodians, and issuers to resolve time-sensitive issues.

Policy & Process Ownership

  • Maintain and update operational procedures and training materials, ensuring regulatory compliance (OSFI/AIFMD/ESMA) and best practices.
  • Document exception handling and workarounds for emerging industry issues.

Strategic Innovation & Improvement Initiatives

  • Continuously identify inefficiencies in workflows, proposing operational or automation solutions.
  • Contribute to system enhancements, working with IT to reduce manual effort.
  • Advise on scoping technology projects (e.g., platform changes, self-service voting tools).

Experience & Qualifications

Essential Criteria

  • 3+ years’ experience in:
    • End-to-end investment operations, including voting workflow administration.
    • Supervising teams or leading large-scale projects (e.g., reconciliation, platform transition).
  • Proficiency with industry-standard proxy voting platforms (e.g., Glass Lewis, ISS Proxy Exchange, Computershare Proxy Voting).
  • Ability to manage high-volume, time-sensitive voting events, including first-day items, shareholder meetings, and regular filings.
  • Strong data management skills, including reconciliation, exception handling, and automated validation/verification.
  • Knowledge of relevant regulatory frameworks, such as:
    • SRD II (UE Shareholder Rights Directive),
    • ERISA and SEC rules (e.g., proxy solicitations),
    • UK-FCA or OSFI-specific guidelines where applicable.
  • Experience collaborating across multiple fund structures or jurisdictions (e.g., Ops fund), including knowledge of procedural variations.
