Manager – Real Estate Tax Transactions

The Opportunity
A leading advisory firm is seeking a Tax Manager to join its growing Real Estate Tax Transactions team within the wider Tax function.
This team provides specialist tax advisory services to a broad range of clients including private equity and infrastructure funds, REITs, and major corporates. They practice advises on complex UK and international real estate transactions, combining strong technical expertise with a commercial and pragmatic approach.
The Team
The Real Estate Tax Transactions team provides end-to-end support on acquisitions, disposals, restructurings, and investment structures across a diverse range of real estate asset classes.
Typical projects include:
- Tax due diligence
- Financial due diligence
- SPA and transaction document reviews
- Tax structuring for acquisitions and joint ventures
- Fund formation and investment structuring
- Vendor assistance assignments
- Ongoing tax advisory projects
- Post-transaction implementation work
The Role
You will work closely with clients, deal teams, finance teams, lawyers, administrators, and other stakeholders throughout the lifecycle of a transaction.
The position offers significant hands-on involvement from the outset, providing exposure to both transaction execution and ongoing advisory work.

The team is also increasing its use of AI-enabled tools to support research, drafting, and efficiency, giving team members greater exposure to strategic and technical advisory work.
Key Responsibilities
- Supporting tax due diligence exercises on corporate real estate acquisitions
- Preparing information requests and reviewing documentation
- Drafting due diligence reports and tax advice
- Coordinating specialist input across VAT, SDLT, Capital Allowances, CIS, Employment Taxes, and other areas
- Supporting financial due diligence exercises
- Assisting with tax structuring for acquisitions, refinancings, reorganisations, and disposals
- Researching technical tax issues and preparing commercially focused advice
- Supporting SPA negotiations and transaction workstreams
- Assisting with tax modelling and investment underwriting
- Advising on holding structures including REITs, Exempt Elected Structures, and Offshore Property Unit Trusts
- Undertaking post-transaction implementation projects
- Advising on tax aspects of commercial lease transactions
- Monitoring legislative and technical developments
- Liaising with compliance and reporting teams to ensure accurate implementation of advice
- Supporting project financial management, including WIP and billing
- Supervising and mentoring junior team members
- Using technology and AI tools responsibly to enhance research and drafting while applying independent technical judgment

About you:
- Experience providing UK real estate tax advisory services, or relevant M&A tax experience
- Exposure to inbound investment structures and real estate transactions
- Experience gained within a professional services, advisory, or consulting environment is preferred
Technical Skills
- Strong UK corporation tax knowledge
- Interest in developing expertise across SDLT, VAT, CIS, and Capital Allowances
- Ability to analyse complex technical issues and provide practical commercial solutions
Qualifications
- ACA, CTA, or equivalent professional qualification
