I am working with a Leading Insurance Company that is seeking to hire an experienced Senior Assistant Company Secretary.

This is an outstanding opportunity for a governance professional who thrives in a high-performance environment and enjoys working closely with Boards, executive leadership teams, and senior stakeholders to shape governance frameworks, influence decision-making, and drive best practice.

The Opportunity

As Senior Assistant Company Secretary, you will be responsible for establishing, implementing, and maintaining an effective governance framework for a newly formed and strategically significant business area.

Working closely with the Board, Chair, Executive Leadership Team, and shareholder representatives, you will provide expert governance advice and support, ensuring strong decision-making, regulatory compliance, risk oversight, and effective board stewardship.

Key Responsibilities

  • Establishing and maintaining governance frameworks, policies, and procedures
  • Supporting Board, Committee, and shareholder meetings, including agenda planning, paper management, minute taking, and action tracking
  • Advising senior stakeholders on governance, regulatory, and corporate governance matters
  • Maintaining statutory records and supporting delegated authority structures
  • Monitoring governance and regulatory developments and recommending improvements
  • Supporting Board and Committee effectiveness reviews, director induction, and ongoing governance training
  • Identifying and managing governance-related risks and controls
  • Building strong relationships across the business and acting as a trusted governance adviser to executive and non-executive stakeholders

About You:

We're looking for a highly credible governance professional with the confidence and expertise to operate at senior level.

You'll bring:

  • Chartered Governance Institute UK & Ireland (CGIUKI) qualification or equivalent
  • Strong company secretarial and corporate governance experience
  • Experience supporting Boards, Committees, and senior leadership teams
  • Excellent stakeholder management and influencing skills
  • Strong judgement, resilience, and attention to detail
  • The ability to navigate complex governance matters within a fast-paced environment
