Senior Assistant Company Secretary
Full-Time, Permanent
London, Hybrid working
The Role:
Join our Company Secretarial team and play a key role in supporting the governance and compliance framework of a global organisation. Working closely with the Company Secretary and senior stakeholders, you will help deliver a high-quality company secretarial service, overseeing entity management and statutory compliance across James Fisher & Sons Plc’s international subsidiaries.
This varied role also offers exposure to listed company activities, including UK Listing Rules compliance, Market Abuse Regulation, Corporate Governance requirements, and support for Board governance, the Annual Report, and AGM processes.
What you'll be doing:
- Develop and implement the Subsidiary Governance Framework, partnering with stakeholders across the business to ensure effective adoption.
- Maintain corporate records, statutory registers, and filings across multiple jurisdictions using Diligent Entities.
- Assist with intra-group transactions, including restructures, loans, dividends, incorporations, and company dissolutions, working closely with Legal, Tax, and Treasury teams.
- Coordinate the preparation, completion, and filing of subsidiary accounts and support the Group Annual Report process.
- Assist with the delivery of the AGM, including drafting notices, minutes, regulatory announcements, and coordinating meeting logistics.
- Support compliance with the UK Listing Rules, Market Abuse Regulation (MAR), and Corporate Governance Code.
- Monitor governance developments and regulatory changes, identifying and implementing required actions.
- Provide company secretarial support on governance projects and strategic initiatives.
- Drive continuous improvement by leveraging technology and AI to enhance governance processes and efficiency.

What we're looking for:
- Experience in implementing compliance processes, embedding governance frameworks, and managing compliance activities within a listed company environment.
- Qualified Company Secretary (ACG) or equivalent.
- Proven experience in company secretarial, corporate governance, and legal entity management within a complex multinational organisation.
- Strong knowledge of subsidiary governance frameworks and statutory compliance requirements.
- Familiarity with governance platforms such as Diligent Entities or similar systems.
- Demonstrated ability to drive process improvements and successfully implement change initiatives.
- Strong analytical, problem-solving, and attention-to-detail skills.
- Excellent organisational, communication, and stakeholder management abilities.
- Proactive, collaborative, and confident in partnering with senior stakeholders across the business.
