Role Overview
The Senior Associate, M&A will play a central role in executing the company's BESS acquisition strategy across the UK and Europe, with a particular focus on acquiring utility-scale projects at or approaching ready-to-build status. Working closely with the Senior Investment Manager, wider investment teams, development teams, and senior management, the successful candidate will be responsible for evaluating acquisition opportunities, developing financial models, coordinating due diligence, and supporting transactions from initial screening through to completion.
The role offers significant exposure to the full investment lifecycle, including new market analysis and entry strategy, origination and acquisition structuring, investment committee processes, commercial negotiations, and the transition of acquired projects into construction handover.

Key Responsibilities
Deal Origination & Investment Screening
- Support the identification and evaluation of RTB and near-RTB BESS acquisition opportunities across the UK and Europe.
- Develop and maintain relationships with project developers, intermediaries, advisors, and other market participants.
- Assess opportunities against the company's investment criteria, including geography, project maturity, grid connection, planning status, technology, and expected returns.
- Prepare initial investment screening papers and recommendations for internal review.
- Maintain and manage the acquisition pipeline, tracking transaction progress, key milestones, and investment priorities.
Financial Modelling & Valuation
- Develop, maintain, and enhance detailed project-level financial models for standalone BESS and, where relevant, co-located solar PV and BESS projects.
- Evaluate acquisition pricing, project economics, development expenditure, construction costs, financing structures, and expected equity returns.
- Analyse merchant revenue forecasts, contracted revenue opportunities, ancillary services, capacity market revenues, and route-to-market arrangements.
- Perform sensitivity and scenario analysis covering revenue volatility, capex, grid connection costs, degradation, augmentation, financing assumptions, and construction delays.
- Assess investment returns using metrics including project IRR, equity IRR, NPV, cash yield, and relevant valuation benchmarks.
- Support the assessment of acquisition structures, deferred consideration, milestone payments, and earn-out mechanisms.

Transaction Execution & Due Diligence
- Support the execution of acquisitions from initial engagement and indicative offer through exclusivity, due diligence, signing, and completion.
- Coordinate financial, commercial, technical, legal, tax, and regulatory due diligence alongside internal teams and external advisors.
- Assess project readiness, with particular attention to grid connection agreements, planning permissions, land rights, permitting, environmental constraints, and construction deliverability.
- Review project development budgets, technical specifications, EPC proposals, battery supply arrangements, and operations and maintenance assumptions.
- Identify material risks, assess their potential financial impact, and develop appropriate risk mitigation strategies.
- Manage virtual data rooms, due diligence trackers, transaction timetables, and outstanding information requests.
- Support the negotiation and review of heads of terms, share purchase agreements, development services agreements, and other transaction documentation in conjunction with legal advisors.
Investment Committee & Stakeholder Management
- Prepare investment committee papers, valuation analyses, transaction summaries, and board presentations.
- Present key investment considerations, financial returns, downside scenarios, and transaction risks to senior management.
- Support the preparation of investment materials and reporting for the company's private equity sponsor.
- Work closely with development, engineering, commercial, finance, and legal teams to ensure investment assumptions are robust and appropriately challenged.
- Coordinate the handover of acquired projects to the development and construction teams, including tracking any outstanding completion obligations.
Market Intelligence & Investment Strategy
- Monitor BESS market developments across the UK and Europe, including revenue opportunities, regulatory changes, grid connection reform, and evolving market structures.
- Analyse acquisition pricing, project valuations, and transaction activity to inform investment strategy.
- Develop an understanding of country-specific BESS market dynamics, including the UK, Germany, Poland, Spain, and other target markets.
- Support the refinement of investment criteria, market entry strategies, and portfolio acquisition opportunities.
- Contribute to the development of internal financial modelling tools, investment processes, and transaction reporting.
Candidate Profile
Experience, Skills & Qualifications
- Ideally 3+ years of relevant professional experience in M&A, infrastructure investment, private equity, or a renewable energy development environment.
- Bachelor's degree or equivalent in Finance, Economics, Accounting, Engineering, Mathematics, or another relevant quantitative discipline.
- Professional qualifications such as CFA or equivalent would be advantageous but are not essential.
- Demonstrable experience in financial modelling, valuation, and investment analysis, ideally involving renewable energy, energy storage, or infrastructure assets.
- Strong proficiency in Microsoft Excel, including the ability to build and critically assess detailed project finance and discounted cash flow models.
- Experience supporting transaction execution, due diligence, and investment committee processes.
- A strong understanding of corporate finance principles, investment returns, and transaction structuring.
- Excellent analytical skills, commercial judgement, and attention to detail.
- Strong written and verbal communication skills, with the ability to present complex financial and commercial information clearly.
- VBA, Python, Power BI, or other analytical/automation capabilities would be advantageous but are not essential.
