Job Summary:

The Senior Commercial Contracts Manager will lead the review, drafting, negotiation and management of complex commercial agreements across NTT DATA Business Solutions’ consulting, cloud services, software, support and managed services portfolio, both sell-side and buy-side.

Acting as a senior commercial adviser and principal contract negotiator, the role will support profitable and sustainable business while ensuring contractual commitments are clearly understood, deliverable, appropriately approved and aligned with commercial objectives, risk appetite and governance requirements.

The role will lead and manage the local Commercial team, comprising a Paralegal and Commercial Assistant, while personally handling significant and higher-risk contractual matters. The postholder will work closely with Sales, Bid Management, Delivery, Finance, Procurement, Information Security, Data Protection, senior management, Group Legal and external advisers as appropriate.

Duties/Responsibilities:

  • This is a hands-on commercial contracting and negotiation role. The postholder will personally lead complex, high-value and higher-risk negotiations from initial review through to agreed terms and signature.
  • Lead negotiations for complex customer, supplier, subcontractor and partner agreements covering consulting, professional services, cloud, software, support, maintenance, hosting and managed services.
  • Maintain a substantial personal caseload of complex, material and strategically important contractual matters alongside team leadership responsibilities.
  • Participate directly in negotiation meetings, calls and workshops; prepare mark-ups and counterproposals, resolve disputed provisions and drive negotiations to signature.
  • Draft, review, amend and redline master services and framework agreements, statements of work, order forms, change requests, software licence and subscription agreements, cloud service agreements, support and maintenance agreements, SLAs, DPAs, information security schedules, NDAs and related documents.
  • Develop negotiation strategies covering preferred and minimum acceptable positions, concessions, alternative drafting and matters requiring approval or escalation.
  • Work with Sales, Bid Management, Delivery, Finance, Procurement, Information Security and Data Protection to understand requirements, ensure commitments are deliverable and identify contractual, financial, legal and operational risks.
  • Lead, manage and develop the local Commercial team, allocating routine and lower-risk matters appropriately while retaining ownership of complex negotiations and providing coaching, guidance and support.

Required Skills / Attributes:

  • Minimum five years’ relevant experience in commercial contracts, contract management, commercial management or technology contracting.
  • Demonstrable experience independently leading complex B2B contract negotiations within consulting, professional services, cloud services or software.
  • Experience negotiating software licensing/subscriptions, SaaS/cloud, implementation and consulting, support/maintenance, hosting, managed services and/or technology supplier or partner agreements.
  • Strong understanding of commercial and contractual issues associated with technology and professional services transactions.
  • Excellent contract drafting, reviewing and redlining skills, with strong awareness of legal, commercial, financial and operational risk.
  • Strong negotiation track record, including developing strategies, defending contractual positions and finding pragmatic alternatives.
  • Sound knowledge of liability, indemnities, intellectual property, licensing, warranties, service levels, acceptance, termination, data protection and information security.
  • Strong commercial judgement and ability to translate complex contractual issues into clear, commercially relevant advice for non-legal stakeholders.
  • Strong communication and influencing skills, with credibility when engaging customers, suppliers, partners, senior management and experienced negotiators.
  • Ability to work autonomously, manage competing priorities, maintain accuracy and own negotiations through to signature.
  • Strong attention to detail, organisation, professionalism, discretion and commercial confidentiality.

The following attributes are desirable, but not essential:

  • Experience negotiating agreements relating to SAP or ServiceNow products, services, implementations, support or partner relationships.
  • Legal qualification, law degree or equivalent professional qualification in law, commercial management or contract management.
  • Experience within an IT services provider, software company, systems integrator, cloud provider, consultancy or managed services business.
  • International or cross-border contracting experience, including working with group companies or stakeholders across jurisdictions.
  • Familiarity with public-sector procurement, framework agreements, regulated environments, contractual disputes, claims, terminations, settlements or contract-governance processes.
