Overview
We are seeking a UK-qualified Commercial Transactions Attorney to join the legal team of a mature but still fast-growing SaaS business. This role will drive revenue and manage risk by owning the drafting, negotiation, and risk assessment of customer partners, and vendor agreements across the company's commercial lifecycle. The successful candidate will act as a trusted, business-embedded Legal partner to our Go-to-Market (GTM) Sales, Deal and Revenue Operations, Procurement, Security, Partner, and Product teams, balancing commercial pragmatism with disciplined risk management in a subscription SaaS business model.
Who You Are
Required Qualifications & Experience
- Qualified solicitor in England & Wales (or equivalent UK jurisdiction), currently in good standing with the SRA (or relevant regulator).
- PQE appropriate to the level being hired (typically 3+ years for Commercial Counsel; 7+ years for Senior Commercial Counsel), with substantial in-house or law firm experience in technology/commercial transactions.
- Demonstrated experience drafting and negotiating SaaS/technology commercial agreements, including MSAs, order forms, and DPAs, and vendor contracts.
- Working knowledge of GDPR, UK GDPR, and international data protection frameworks as applied to commercial contracting. Experience negotiating customer information security requirements, AI terms, data use rights, audit rights, and vendor risk/security exhibits in a multi-tenant SaaS environment.
- Strong commercial judgment and ability to independently assess and communicate risk to non-lawyer business stakeholders.
- Excellent drafting, negotiation, and communication skills, with the ability to manage a high-volume deal pipeline under time pressure.
- Experience being a key member of cross functional process improvement initiatives as well as legal department specific projects.

- Experience in a high-growth or publicly traded SaaS company, particularly one selling into regulated or enterprise customer bases, including financial services.
- Familiarity with export control, sanctions screening, and anti-bribery/anti-corruption considerations in commercial contracting.
- Exposure to procurement/vendor management processes and subcontractor flow-down frameworks.
- Prior experience supporting M&A due diligence or corporate transactions from a commercial contract’s perspective.
- Additional practical experience in or familiarity with EU data protection law, U.S. privacy law (e.g., CCPA), or other multi-jurisdictional privacy regimes.

What You'll Be Doing
- Draft, review, and negotiate a high volume of commercial agreements, including SaaS subscription agreements, master services agreements (MSAs), order forms, data processing agreements (DPAs), reseller/channel partner agreements, and vendor/procurement contracts with EMEA based prospects and customers.
- Negotiate customer-initiated security exhibits, AI terms IT security policies, and audit/right-to-audit clauses against the company's standard security posture, certifications (e.g., ISO 27001, SOC 2 Type II), and Trust Center positions.
- Advise on UK GDPR, the Data Protection Act 2018, and cross-border data transfer mechanisms (e.g., UK IDTA, EU SCCs) as they apply to customer and vendor contracts.
- Partner with Sales and Deal Ops to structure and close enterprise deals, including pricing, liability caps, indemnities, service levels, and termination terms, within approved playbooks and escalation thresholds.
- Manage subcontractor and vendor flow-down obligations, ensuring consistency between customer commitments and the company's vendor risk management program.
- Work with Legal team to help maintain and continuously improve contract templates, playbooks, fallback positions, and internal negotiation guidance to increase deal velocity and consistency.
- Support cross-functional stakeholders (GTM, Customer Success, DealOps, InfoSec Finance, and Product) on contract interpretation, compliance questions, and dispute avoidance.
- Track and report on contracting trends, common redline patterns, and recurring points of friction to inform template and policy updates.
- Assist with legal aspects of procurement, including SaaS and cloud vendor agreements, software licensing, and IT services contracts.
- Collaborate with team members on departmental process improvements and general projects.
