Description
We are seeking a versatile, high-caliber Senior Corporate Counsel to join our legal team. As a generalist, you will navigate the intersection of traditional corporate law and the evolving landscape of digital assets and fintech. This role is perfect for a lawyer who thrives on variety—handling everything from high-stakes M&A and venture financing to the intricate nuances of crypto-specific commercial contracts.
Responsibilities
Commercial Transactions & Specialized Contracting
- Draft, negotiate, and manage complex commercial agreements.
- Lead legal review for Crypto and Payment-related contracts, including liquidity provider agreements, custody arrangements, and payment processing terms.

- Oversee corporate governance for our US and global entities, ensuring compliance with local statutory requirements.
- Manage board secretarial duties, including drafting resolutions, maintaining minute books, and managing entity formations/dissolutions.
- Stay abreast of evolving regulatory requirements in multiple jurisdictions.
Strategic Transactions (M&A & Fundraising)
- Provide end-to-end legal support for fundraising rounds.
- Execute Mergers & Acquisitions (M&A), including due diligence management, data room oversight, and definitive agreement negotiation.
- Manage relationship with outside counsel to ensure cost-effective and high-quality deliverables.
General Advisory & Stakeholder Support
- Serve as a trusted advisor to internal stakeholders (Product, Finance, HR, and Operations) on day-to-day legal issues.
- Proactively identify legal risks and implement scalable mitigation strategies.
- Support the development and refinement of internal legal templates and playbooks.
- Support MTL applications

Requirements
- Education: J.D. from an accredited US law school and active bar membership in at least one US jurisdiction.
- Experience: Minimum of 5 years of experience in a high-growth "in-house" environment.
- Domain Expertise: Proven track record in fintech, payments, or the crypto/web3 space is highly preferred.
- Communication: Ability to explain "legalese" to non-lawyers with clarity, wit, and brevity.
- Adaptability: Comfortable with ambiguity and able to pivot quickly in a fast-paced global regulatory environment.
