Job Description

An established international bank is seeking an experienced candidate to join its corporate lending team. This is a key role responsible for reviewing syndicated and bilateral loan documentation, ensuring compliance with internal credit policies and approval conditions, and identifying legal or structural risks before funds are released. The successful candidate will also assess the Bank’s legal position and recovery options in relation to distressed or defaulted lending.

Key Responsibilities

Loan Documentation and Legal Review

  • Review and negotiate syndicated and bilateral loan documentation, including LMA/LSTA facility agreements, guarantees, debentures, legal charges, intercreditor agreements, and Conditions Precedent.
  • Ensure security interests are legally robust, correctly structured, and capable of being perfected through the appropriate registrations.
  • Assess participation mechanics, lender-of-record risks, transferability restrictions, and voting rights within syndicated facilities.
  • Review legal Conditions Precedent, including board resolutions, director certificates, constitutional documents, and legal opinions.
  • Identify documentation risks such as weak covenant definitions, Events of Default loopholes, and inappropriate cross-default thresholds.
  • Ensure documentation remains aligned with the Bank’s credit approvals and risk appetite.
  • Act as the primary point of contact for external legal counsel and work closely with Front Office and internal stakeholders to escalate non-standard legal or structural risks.

Distressed Assets and Enforcement Advisory

  • Conduct independent legal viability reviews of deteriorating, underperforming, and defaulted loans.
  • Evaluate the Bank’s contractual leverage, security position, and immediate recovery options.
  • Ensure security interests remain intact, enforceable, and unencumbered following early-warning triggers.
  • Advise senior management on potential enforcement triggers, debt acceleration, debt-to-equity swaps, and formal workout strategies.
  • Work with external legal counsel to assess structural strengths and weaknesses before enforcement or recovery action begins.

Credit File Management

  • Review, verify, and oversee the storage of credit documentation.
  • Ensure documentation is archived accurately and in accordance with established procedures and retention policies.
  • Monitor changes to internal documentation-management requirements and implement necessary process updates.
  • Prepare reports and presentations for senior management and internal regulatory stakeholders.
  • Support additional departmental projects as required.

Experience and Skills Required

  • Approximately 5–7 years’ experience within loan documentation, credit administration, or a banking and finance legal team.
  • Previous experience within a corporate, commercial, or wholesale banking environment.
  • Strong knowledge of syndicated and bilateral lending documentation.
  • Familiarity with LMA and/or LSTA documentation.
  • A sound understanding of UK corporate law and the perfection and enforcement of security would be highly advantageous.
  • Strong analytical skills and the ability to identify legal, structural, and documentation risks.
  • Confidence working with senior stakeholders, Front Office teams, and external legal counsel.
  • Excellent attention to detail, judgement, and written communication skills.

The position is subject to the applicable regulatory Conduct Rules but does not carry a Senior Management Function or Certification Function.
