NBIM Legal & Tax

NBIM Legal & Tax is NBIM’s centralised legal function. It assists and advises all NBIM business areas on their legal and tax requirements in respect of NBIM’s organisation and its investment activities.

The Contracts team is the area within NBIM Legal & Tax providing legal support across a broad range of contract and transaction types, including derivatives, repurchase agreements, securities lending, custody, prime brokerage, and external investment management. The Contracts team also advises on data, technology, and service contracts. The team has five lawyers working closely with internal teams across our offices in Oslo, London, and New York.

NBIM is seeking a Senior Legal Counsel with strong derivatives and securities financing experience to join the Contracts team in NBIM Legal & Tax. The position will be based in London and will report to the Head of the Contracts team in Legal & Tax. Travel will be required at times. International assignments to other NBIM offices may also be relevant depending on business needs.

Duties and responsibilities

What you will do

  • Provide legal support to investment, operations, risk and other teams regarding derivatives and repo transactions.
  • Negotiate and advise on ISDA Master Agreements, Credit Support Annexes/Deeds, and other derivatives trading and collateral documentation (cleared and bilateral), including netting agreements and default issues.
  • Negotiate and advise on GMRAs, MRAs and other repo and securities financing documentation (cleared and bilateral).
  • Advise on the regulatory framework relevant to derivatives, repo, and securities financing activity.
  • Manage and mandate external legal advisors.
  • Input to internal investment memoranda and monitor legal look-out functions; contribute to internal policies, guidelines, and procedures relevant to derivatives, repo, and securities financing activity.
  • Contribute to integration of AI and new technologies in work processes to enhance quality and efficiency.
  • Support in connection with internal and external audit processes and legal questions relating to the mandate and provide legal input in connection with exploring new markets.
  • You will be part of a specialised team while contributing to the broader Legal & Tax function, sharing expertise and insights across the organization.

What you need

  • A law degree with good academic record from a university in UK or US.
  • Minimum 8 years’ experience negotiating and advising on derivatives documentation, including ISDA Master Agreements and netting agreements.
  • Experience negotiating and advising on repo and securities financing documentation, including GMRAs and MRAs.
  • Familiarity with securities lending arrangements and documentation, including GMSLAs and MSLAs.
  • Solid understanding of the regulatory framework governing derivatives and securities financing transactions.
  • Extensive international experience is an advantage.
  • Proficiency in written and spoken English.
  • Knowledge and curiosity around use of AI and new technologies.
