The Role

The Senior Legal Counsel – Corporate provides high-quality corporate, M&A, commercial, and general legal advice across Collinson's businesses and central services functions, including Group Strategy, Airport Dimensions, Valuedynamx, Collinson Insurance, Finance, People & Culture, and Procurement. This role combines strong technical corporate and M&A expertise with the ability to work independently on complex transactions and to act as a trusted legal adviser to business stakeholders. The Senior Legal Counsel supports the VP Legal – Corporate and Central Functions in delivering the legal strategy for corporate transactions, governance, and legal risk management, ensuring legal frameworks and contracts evolve in line with Collinson’s global growth ambitions.

Key Responsibilities

  • Independently lead and manage complex, high-value corporate transactions including mergers and acquisitions (M&A), disposals, joint ventures, group reorganisations, cross-border and multi-jurisdictional deals, and ad hoc corporate transactions, from origination and due diligence through to completion and post-completion integration.
  • Draft, review, and negotiate transaction documents, including share/asset purchase agreements, shareholder agreements, joint venture agreements, and disclosure letters.
  • Advise on integration and separation arrangements and post-completion obligations arising from corporate transactions.
  • Support on corporate finance, capital structure, and banking arrangements.
  • Support company secretarial and governance activities connected to corporate transactions and group structure.
  • Lead and support significant contract negotiations for operating companies across our airport operations, loyalty, and insurance businesses, escalating novel or high-risk issues to the VP Legal.
  • Support operational areas, including employment/People & Development matters, policies, and terms and conditions.
  • Act as a trusted legal adviser to senior stakeholders, supporting the VP Legal – Corporate and Central Functions in delivering the corporate, M&A, and legal strategy.
  • Mentor and oversee other members of the Legal Team on corporate and M&A matters, sharing knowledge and best practice.
  • Role-model strong business partnership with all areas of the business, raising standards and the reputation of the Legal Team.
  • Support the transformation of the business by ensuring legal frameworks, governance, and risk management align with evolving global operations.
  • Collaborate closely with senior stakeholders to support both day-to-day operations and long-term strategic direction, with a particular emphasis on corporate and M&A matters and Central Services functions.
  • Support and help strengthen legal governance standards and risk monitoring across international offices.
  • Contribute to the development and roll-out of Group policies, codes of conduct, and training.
  • Provide timely advice and updates to the VP Legal and Chief Legal Officer on corporate, legal, and operational matters.
  • Deliver training programs and focused sessions addressing legal and industry-specific risks.
  • Contribute to improvements in contract management processes, technology solutions, standard agreements, and legal policies.
  • Ensure Legal advice is pragmatic and solution-focused, acting as an enabler of business growth.
