About the Role
The Senior Manager, Corporate Governance will lead day-to-day corporate governance and entity-management activity across Nscale. Reporting to the SVP Legal, Corporate & M&A, this UK-based role will ensure Nscale maintains robust, consistent and scalable governance practices across its EMEA operations.
This is a visible, hands-on position for someone who is comfortable operating with senior leaders, taking ownership from day one and bringing structure, momentum and sound judgement to a fast-moving environment. You will act as the key governance partner for the EMEA region while working as part of a global legal organisation, helping ensure that Nscale’s governance framework evolves in step with its growth.

The successful candidate will be proactive, highly organised and able to work independently, while also developing the capability of the wider governance team and function. This is an opportunity to make a meaningful impact: identifying where stronger processes are needed, bringing people together to address them and helping create a governance model that supports Nscale’s international ambitions.
What You’ll Be Doing
- Manage global subsidiary governance and entity-management activities, including incorporations, maintenance, restructurings, dissolutions and statutory filings.
- Maintain accurate corporate records, registers, governance calendars and entity-management systems.
- Support Board and committee administration in partnership with the SVP, Corporate & M&A and the Corporate Secretary function.
- Prepare and coordinate Board, committee and shareholder materials, resolutions, minutes and written consents.
- Maintain and administer delegated-authority frameworks, signing matrices and corporate governance policies.
- Coordinate with external counsel, corporate service providers and internal stakeholders to meet local governance and compliance requirements.
- Monitor changes to corporate governance requirements and help implement appropriate updates across the group.
- Drive process improvements and standardisation across Nscale’s governance and entity-management practices.

What You Need
- 8-12 years of relevant corporate governance, company secretarial or entity-management experience, gained in-house, in professional services and/or at a top-tier law firm.
- Qualified chartered governance professional, or equivalent relevant professional experience.
- Strong knowledge of UK corporate governance and company-law requirements.
- Experience managing multi-jurisdictional entities and working with external corporate service providers.
- Excellent organisational skills and meticulous attention to detail, with the ability to manage multiple deadlines.
- A pragmatic, collaborative approach and confidence working with senior stakeholders across an international business.
Nice to Haves
- Experience in a high-growth, international or technology business.
- Familiarity with public-company governance practices.
- Experience using entity-management platforms and governance tools.
