The opportunity
EY’s market-leading Strategy and Execution (S&E) team provides IT & Operations advice to corporate and private equity firms who intend to acquire, divest, or restructure businesses. The team comprises advisors with specialist Commercial, Operations, IT, and transaction experience from industry, advisory, and audit backgrounds.
We are seeking to further expand our team with Deal Technology Consultants to work with our clients (Corporate and Private Equity) and across a range of sectors that include Industrials and Energy, Consumer, and Health. We are specifically looking for candidates that have extensive Data, Enterprise Applications (e.g. ERP, HRIS), Infrastructure, or Site Separation experience in the context of M&A.
As a Senior Manager in our team, you’ll advise clients across all sectors, taking a lead role in developing and executing IT M&A strategies for transactions. You will apply your IT technical skills across the M&A transaction lifecycle; including pre-deal diligence, value creation, carve-outs, and integrations.
Your proven IT M&A execution, stakeholder management, and leadership experience will be key to the role. If you’re ready to take on a wide range of responsibilities and are committed to seeking out new ways to make a difference, this role is for you.
Your key responsibilities:
- Lead and/or oversee IT pre-deal, value creation, post-deal, separation, and integration engagements, acting as workstream or engagement lead on complex M&A transactions for corporate and Private Equity. With accountability for planning, delivery quality, and client outcomes, across the United Kingdom and Ireland (UKI).
- Manage cross-functional project teams comprising colleagues from our transactions and advisory practices, driving high performance under demanding deal timelines.
- Act as a core member of client deal execution teams to advise senior IT stakeholders on the IT strategy, planning, and execution required to support a M&A transaction.
- Assess the client's state of IT readiness based on the transaction phase, this will cover the IT organization, infrastructure, business, and enterprise applications, data, and service delivery.
- Own the development of key client deliverables, including IT due diligence reports, separation plans, and integration blueprints, and executive-level presentation for C-suite and senior IT stakeholders.
- Play an active and leading role in business origination, including pitches and presentations, and working in project teams comprising other colleagues from EY Parthenon, such as Operational and Financial Due Diligence, Corporate Strategy, Operational Strategy, and Software Strategy Group.
- Learn and develop technical and personal skills to support the achievement of career goals, through a blend of structured learning, coaching, and practical experiences.
- Lead practice development activities, people initiatives, recruiting, retaining, and training current and future staff.

Skills and attributes for success
What we look for
- A degree in Computer Science or IT is preferred; equivalent experience is essential.
- Strong experience of leading and delivering IT M&A assignments, including:
- IT due diligence
- IT value creation
- IT post-merger integration / carve-out planning
- Day 1 readiness and IT TSA exit planning and execution
- Deep hands-on experience across one or more core aspects of IT, including; Enterprise Architecture, IT Operating Model, IT Strategy, Enterprise Applications (e.g. ERP, HRIS, Customer and Sales systems), IT Infrastructure, IT Financials, Site Separation, and Data.
- Ability to act as an IT technical lead on M&A transactions, structuring complex assessments, and challenging client IT teams where required.
- Excellent problem-solving skills.
- Integration Management Office (IMO), Separation Management Office (SMO), Transition Management Office (TMO), or Value Realisation Office (VRO) expertise with demonstrable leadership experience in being responsible for the delivery of successful assignments in this area.
- Track record of producing high-quality client deliverables in fast-paced M&A transaction environments.
- Strong verbal and communication (verbally and written) and presentation skills.
- Demonstrable leadership experience translating IT analysis into clear, commercially relevant deal insights, supporting investment decisions and transaction planning.
- Strong team leadership skills, particularly teams with diverse skills and backgrounds, coupled with the ability to manage and develop juniors.
- Adept at building strong working relationships with senior clients, including influence, advice, and support to key decision makers.
- Flexible with working locations, the ability to learn quickly and leverage skills in new situations.
- Knowledge of or certification in structured methodologies and a familiarity with industry standards such as ITIL for Infrastructure, Systems Development Life Cycle methods, and COBIT for IT Governance.
