The Role

We're hiring a Senior Manager for our Equity Reward Tax team. You'll draw on Deals experience to advise private (including PE-backed) and listed companies on employee share plans and equity incentives — EMI, CSOP, growth shares, MIPs and listed plan structures — working directly with CFOs, HR, legal and investor stakeholders across the deal lifecycle.

Responsibilities

  • Lead strategic client engagements involving equity incentive design, implementation, and governance for private (including PE-backed) and listed companies.
  • Advise on EMI, CSOP, growth shares, MIPs, RSUs, LTIPs, option plans, and hybrid structures, with a deep understanding of tax, legal, and accounting implications.
  • Deliver commercially grounded advice aligned with corporate transactions (e.g., investment rounds, exits, IPOs) and ongoing employee/shareholder alignment.
  • Work closely with tax, legal, corporate finance, and valuation teams to deliver integrated, high-quality solutions.
  • Drive scalable delivery by implementing AI-enabled tools across modelling, documentation, and communications.
  • Lead business development across key accounts and industry sectors, identifying cross-service opportunities and building long-term client relationships.
  • Develop and mentor team members, build succession pipelines, and foster technical excellence across the equity and reward specialism.
  • Contribute to new proposition development in response to evolving market, regulatory, and investor needs.

Qualifications

  • A professional qualification (e.g., CTA, ACA, solicitor) is preferred.
  • Significant experience (typically 8+ years) advising on UK equity incentives, ideally with exposure to both private and listed companies in a Deals environment.
  • Deep understanding of equity design, implementation, tax treatment, and exit scenarios, including specific experience in private equity-backed structures.
  • Proven leadership of complex, multi-disciplinary advisory projects with CFO, RemCo, or investor engagement.
  • Experience using AI and automation in modelling, reporting, or documentation is advantageous.
  • Commercial acumen and proven ability to grow accounts and originate new opportunities.
  • Strong people leadership and team development capability.
  • Excellent communication, negotiation, and relationship management skills.
