The Opportunity

Our client, a global business and technology consulting firm, is looking for a Senior Manager to join its fast-growing Sell-Side Advisory (SSA) practice in London.

The team advises private equity and venture capital portfolio companies, as well as corporate owners, on the strategic, operational and technology factors that shape the outcome of a recapitalisation, refinancing or exit to a strategic or financial buyer. You will lead operational and technology assessments and prepare management teams for demanding diligence processes. You will also identify and quantify value creation opportunities, and work alongside investment banks and other advisors to sharpen the equity story around a company's technology and operations.

The SSA model combines experienced entrepreneurs, seasoned operators and veteran deal professionals. This is a senior, highly visible role with a direct part in building the London practice through strategy, recruitment, team building and practice development.

Key Responsibilities

Client and transaction leadership

  • Lead Transaction Services teams across a range of sectors, with credibility and executive presence in front of C-suite executives and private equity investors.
  • Manage relationships with every stakeholder in a sell-side process, including investment banks, co-advisors, private equity and corporate owners, and client leadership teams.
  • Coach client executives to articulate the value created by their technology and operations, and to handle sensitive or challenging diligence topics with confidence.

Vendor due diligence and exit readiness

  • Lead sell-side vendor due diligence (VDD) engagements covering operational and technology strategy, organisational design and operating models, and current-state processes and supporting technology.
  • De-risk exit processes by identifying critical issues early and developing practical remediation strategies.
  • Identify strategic opportunities and quantify the potential for value creation.
  • Direct engagement teams on transaction advisory work, including request lists, agendas, client reviews and ownership of deliverable quality.

Carve-out and integration delivery

  • Lead large-scale transformation programmes within carve-out and merger integration transactions, providing strategic oversight, quality assurance and PMO leadership across functional and technical workstreams.

Practice development and commercial ownership

  • Help develop and refine the firm's M&A methodologies across diligence, exit readiness, integration planning and carve-out execution.
  • Own engagement economics, including pricing, risk assessment, budgeting, invoicing and collections.
  • Drive business development with investment banks, private equity firms, portfolio companies and corporate clients, including work plans, pricing and detailed proposals.
  • Recruit, coach, develop and retain high-calibre consultants, contribute to performance reviews, and play a central role in growing the London team.

Candidate Profile

  • Bachelor's degree or equivalent experience; an advanced degree (e.g. MBA) is advantageous.
  • 8+ years' experience in strategy, technology and/or operations roles within team-based, cross-functional environments.
  • Proven background in one or more of the following: sell-side advisory, exit readiness, operational or technology due diligence, M&A, corporate strategy, or value creation. Exposure to ERP programmes, operating model design or critical-issue remediation is highly desirable.
  • Strong project and programme management capability across scope, schedule, issue and risk management, as well as strategic planning, analysis and change management.
  • Confident leading business development, both externally with investment banks, private equity teams and portfolio company executives, and internally across the firm.
  • Excellent critical thinking and communication skills, with the gravitas to build trust with executive and investor audiences.
  • P&L management or financial modelling experience is beneficial but not essential.
  • Full, permanent right to work in the UK.
  • Willingness to travel up to 50%.
