Job Purpose

Paralegal role is reporting to the ELC (subject to change as the case may be) with a responsibility to provide practical legal-related and administrative support to the ELC and the EMEA legal team across a broad range of corporate, commercial and governance activities.

How You Make An Impact (Job Accountabilities)

Corporate Governance and Entity Management: 20%

  • Support the governance and administration of EMEA legal entities.
  • Update and maintain files and databases of corporate, fiscal, and other business documentation related to EMEA legal entities.
  • Draft and Coordinate board and shareholder resolutions, minutes, approvals and other corporate documentation.
  • Support director and officer appointments, resignations and changes.
  • Assist with Powers of Attorney, authorized signatory arrangements and related records.
  • Coordinate statutory filings and corporate formalities with internal teams, company secretarial providers and external counsel.
  • Maintain calendars and trackers for recurring corporate governance obligations.
  • Support the ELC and the EMEA legal team with corporate reorganizations and other entity-related projects.

Standard Form Agreements (NDAs, Distribution Agreements, Supply Agreements, Procurement Agreements, etc.): 30%

  • Manage Standard Form Agreements using approved company templates and playbooks.
  • As instructed by ELC and legal team, review proposed changes to Standard Form Agreements against established Legal guidelines and escalate material or non-standard provisions to ELC.
  • Assist in the signature or e-signature/execution of all agreements or legal documents from the appropriate authorized signatories.
  • Support preparation of Standard Form agreements, amendments, termination notices and other routine legal documentation where appropriate.
  • Update and maintain a contractual database for the EMEA region, liaising with business and key stakeholders to ensure that such database is accurate and up to date and propose corrective actions if needed in coordination with the legal team members.
  • Assist EMEA Legal Team with contract administration and document management on Ironclad (Contract Lifecycle Management).

General Legal Support: 40%

  • Provide paralegal support to EMEA counsels on commercial, corporate and other legal matters.
  • Conduct basic legal and factual research under counsel supervision.
  • Prepare first drafts of routine documents using approved templates.
  • Support document reviews and information-gathering exercises.
  • Perform critical reviews and support the ELC to improve existing legal processes and systems to ensure the legal department is responding efficiency to business needs. Continuously assesses company operations to determine any legal risks.
  • Liaise with Sales, Finance, HR, Compliance and other business functions on routine Legal matters.
  • Identify matters requiring legal judgement and promptly escalate them to the appropriate lawyer.
  • Assist in obtaining internal and regulatory approvals, submissions, etc., in accordance with legal regulations and company policies for EMEA.

Compliance & Trade Compliance: 5%

  • Maintain and monitor 3rd party Due Diligences (Ethixbase 360) for EMEA by working closely with the global compliance team. Supporting trade compliance with customs related matters.
  • Draft any compliance statements upon request of ELC
  • Assist the ELC and any other EMEA legal team members in maintain an effective compliance program including anti-corruption, bribery, trade compliance, conflict of interest, harassment etc.

Other Responsibilities: 5%

  • Processing outside counsel invoices according to the Company processes and tools, after seeking approval from ELC.
  • Checking and approving SAP requests for new sold to or ship to customers or new ship to locations from existing customers (mainly distributors and resellers).
  • Monitor any legislation and regulatory changes especially at the EU level, alert the EMEA legal team and propose appropriate actions.
  • Gather information and analyze laws, statutes, decisions, legal texts, codes, and other documentation, make heads up, summary and presentation of such information, as the case may be.
  • Performing all other duties assigned by ELC to support the EMEA legal team.

What You Bring to the Role (Job Qualifications / Education / Skills / Requirements / Capabilities)

  • Law degree/Bachelor’s degree (LLB) or equivalent – desirable but not essential
  • Experience in corporate secretary for entities in various jurisdictions - required
  • Legal ops experience would be preferred
  • Experience of working with corporate legal department and/or in house attorneys
  • Previous successful experience as paralegal or legal assistant.
  • Proven track record of working in positions where accuracy, structured and documented working, and prioritizing has been key.
