Archax is an FCA/CNMV-regulated Multilateral Trading Facility (MTF) operating a trading and primary platform for professional and institutional clients. The Role
This is a senior, hands-on position in a small in-house legal team, with significant exposure to senior management and live transactions. You will work directly with the Head of Legal, running commercial contracts and corporate governance matters across the Group. The firm moves quickly and the legal function is still being built, so you will take matters from instruction through to completion rather than picking up part of someone else’s file, and you will have real scope to shape how the team works.
Commercial Contracts
- Draft, review and negotiate the Group’s day-to-day commercial agreements, including NDAs, vendor and supplier terms, technology and SaaS contracts and client-facing documentation, running the routine matters independently and escalating only where genuinely necessary.
- Own the contract lifecycle, including intake, triage, tracking, renewals and expiries, so that nothing lapses, duplicates or reaches signature without the appropriate sign-off.
- Maintain and improve the team’s templates, playbooks and precedents so that each version of a document starts further ahead than the last.
Corporate Governance
- Prepare board and committee papers, agendas, minutes, resolutions and action logs across the Group’s entities.
- Support corporate and financing transactions, including due diligence, conditions precedent, signing and completion mechanics, and post-completion housekeeping.
Legal Operations
- Get properly hands-on with the team’s tools, from e-signature and contract management systems to the AI-assisted drafting and research tools we use day to day, and help us keep improving how we use them.
- Be creative: if you spot something clunky, slow or repetitive, we genuinely want you to say so and help fix it.

About You
We are looking for an experienced paralegal who combines strong drafting and organisational skills with commercial awareness, sound judgement and the confidence to own matters end to end. You should be comfortable moving between a contract, a board pack and a governance question in the same day, and able to identify, summarise and explain legal issues clearly to non-lawyers, while recognising when input or advice from a qualified lawyer is required. You should know the difference between something you should get on with and something you should stop and ask about, and be confident enough to ask. We are looking for individuals who are self-motivated and comfortable taking ownership in a fast-moving environment. Some of this work is genuinely interesting and some of it is administrative; in a team this size both land on the same desk, and we want someone who will take on either with a positive attitude. We value candour, particularly when something has gone wrong.
Knowledge and Experience Required
- 3-5 years’ relevant paralegal experience, preferably gained in financial services, fintech or another regulated environment;
- Experience drafting, reviewing and negotiating commercial contracts, including NDAs, vendor, supplier and technology agreements;
- Experience of corporate governance, including board packs and minutes;
- Strong written and verbal communication skills;
- Strong organisational skills, with the ability to keep several matters moving at once and follow each of them through to close;
- Able to use initiative and work unsupervised, and comfortable taking responsibility;
- Confident with modern legal tooling, including e-signature, contract management and AI-assisted drafting and research tools, with the judgement to know when to rely on them;
- Reliability and discretion, with a track record of handling confidential and market-sensitive material;
- Law degree/GDL (SQE1 – desirable);
- Experience gained at an FCA-authorised firm, or at a law firm with a strong financial services regulatory practice – desirable;
- Familiarity with digital assets, tokenisation, custody or market infrastructure – desirable.
