Job Description
The Share Plan Manager is responsible for leading the governance, administration and continuous improvement of Endava's global employee share plans and equity programmes.
The role provides day-to-day leadership to the Share Plans team, ensuring work is effectively prioritised, team capability is developed, and a consistently high standard of service is delivered. The Share Plan Manager oversees all share plan activity, ensuring programmes are administered accurately, compliantly and in accordance with plan rules, securities regulations, internal controls and corporate governance requirements.
As Endava's subject matter expert for equity compensation, the Share Plan Manager works closely with senior stakeholders across Total Rewards, Finance, Tax, Payroll, Legal, Company Secretariat and external providers. The role prepares high-quality papers, recommendations and presentations for Executive leadership, the Remuneration Committee and the Board, providing clear, practical advice on all share plan matters.
Key Responsibilities
Leadership of the Share Plans Team
- Lead, coach and develop the Share Plans team, creating a high-performing, collaborative and customer-focused environment.
- Set team priorities, allocate workloads and ensure delivery against key operational deadlines.
- Develop team capability through coaching, mentoring and knowledge sharing.
- Establish clear performance expectations and drive continuous improvement across the function.
- Act as the escalation point for complex operational and technical share plan matters.
Share Plan Management
- Own the end-to-end administration of Endava's global employee and executive share plans.
- Oversee grants, vesting, exercises, maturities, share releases and other plan events.
- Ensure all participant transactions are processed accurately and within agreed timelines.
- Maintain plan documentation, operating procedures and governance records.
- Ensure accurate share plan data and robust administration processes.
- Deliver an excellent participant experience through effective support and communication.

- Prepare high-quality papers, reports and recommendations for Executive leadership, the Remuneration Committee and the Board.
- Present share plan matters, approval requests and technical recommendations confidently to senior governance forums.
- Provide expert advice on equity compensation, plan rules and governance requirements.
- Manage approval processes for grants, awards and other share plan activity.
- Work closely with the Company Secretariat to ensure governance processes operate effectively.
- Translate complex technical matters into clear business recommendations for senior stakeholders.
Compliance and Risk
- Ensure compliance with plan rules, securities regulations, tax requirements and internal governance standards.
- Maintain and oversee SOX controls and other internal control requirements.
- Support internal and external audits relating to share plans.
- Identify, assess and manage operational and governance risks.
- Maintain accurate records, documentation and audit trails.
- Ensure appropriate data privacy and confidentiality standards are maintained.
Stakeholder and Supplier Management
- Build strong working relationships across Total Rewards, Finance, Payroll, Tax, Legal, HR and Company Secretariat.
- Manage relationships with external share plan administrators, brokers, registrars and advisers.
- Coordinate cross-functional activities to ensure successful delivery of share plan events.
- Provide clear guidance and advice to employees, leaders and senior stakeholders.
- Act as the recognised internal expert for all operational share plan matters.
Reporting and Continuous Improvement
- Produce management reporting, analysis and governance information.
- Support financial reporting and regulatory disclosure requirements.
- Identify opportunities to improve processes, controls, technology and participant experience.
- Lead or support implementation of new share plans, systems and process improvements.
- Ensure share plan operations remain efficient, scalable and aligned with business requirements.
Qualifications
Essential Experience
- Experience managing employee share plans within a listed company.
- Experience leading or managing a specialist administration team.
- Strong understanding of equity compensation, share plan administration and corporate governance.
- Experience preparing papers and presenting to Executive leadership, Boards or Committees.
- Experience managing external share plan providers and advisers.
- Experience operating within a controlled and regulated environment.

- Excellent organisational and project management capability.
