About the Role
Code & Clause Legal is seeking a commercially minded Tech & Product Counsel to support fast-growing technology companies, SaaS businesses, AI companies, and digital product teams.
This role is ideal for a technology lawyer who enjoys working at the intersection of law, product development, and emerging technologies. You will advise clients throughout the product lifecycle — from early product design and launch through scaling, commercialisation, and international expansion.
You will work closely with founders, engineering teams, product managers, and business stakeholders to identify legal risks, design practical solutions, and help technology companies build products responsibly and commercially.
The successful candidate will combine strong technology law knowledge with commercial judgement, curiosity about emerging technologies, and the ability to translate complex legal issues into clear business advice.

Key Responsibilities
Product Legal Advisory
- Act as legal partner to technology founders, product teams, and engineering stakeholders.
- Provide practical legal guidance throughout the product development lifecycle, from concept and design through launch and commercialisation.
- Review product features, user journeys, and business models to identify legal, regulatory, and commercial risks.
- Support product launches across multiple jurisdictions.
- Develop product legal frameworks, playbooks, and internal guidance materials.
Technology Contracts & Commercial Transactions
- Draft, review, and negotiate technology agreements, including SaaS agreements, software licensing agreements, API agreements, cloud service agreements, software development agreements, technology implementation agreements, platform terms, vendor and procurement agreements, partnership and integration agreements, and service level agreements (SLAs).
- Advise on key commercial technology contract issues including intellectual property ownership, data rights, confidentiality obligations, liability allocation, warranties, indemnities, service commitments, and termination and exit arrangements.

AI & Emerging Technology
- Advise clients developing and deploying AI-powered products.
- Support AI governance frameworks, responsible AI policies, and risk assessments.
- Review AI-related commercial arrangements, including AI development agreements, AI model licensing, data usage agreements, AI vendor agreements, and machine learning deployment terms.
- Monitor developments in AI regulation including the EU AI Act, UK AI regulation initiatives, and global emerging technology frameworks.
Data Protection & Privacy
- Work alongside privacy specialists to support technology companies with GDPR and UK GDPR compliance, data processing agreements, international data transfers, privacy-by-design reviews, cookie compliance, and data governance frameworks.
- Advise product teams on responsible handling of user data.
Intellectual Property & Software Protection
- Advise technology companies on IP strategy including software ownership, copyright protection, open-source software compliance, developer and contractor IP assignments, licensing models, and brand and trademark considerations.
- Support open-source licensing reviews and software compliance assessments.
Client Advisory & Legal Operations
- Work directly with startup founders, CTOs, product managers, and commercial teams.
- Translate complex legal requirements into practical business recommendations.
- Create legal templates, playbooks, checklists, and scalable processes.
- Support client onboarding, legal audits, and technology risk assessments.
- Contribute to improving internal legal workflows through AI tools and automation.
Thought Leadership & Market Development
- Contribute articles, guides, newsletters, and insights on technology law developments.
- Support client education initiatives through webinars, legal explainers, and industry content.
- Monitor developments across AI, SaaS, fintech, cybersecurity, and emerging technology sectors.
What You’ll Bring
- Qualified solicitor or barrister with 2+ years PQE experience.
- Experience advising on technology, commercial contracts, product legal matters, or digital businesses.
- Strong understanding of technology transactions and software-related agreements.
- Experience reviewing and negotiating commercial contracts.
- Ability to understand technical products and communicate effectively with non-legal stakeholders.
- Strong drafting, research, and analytical skills.
- Commercial mindset with the ability to balance legal risk and business objectives.
- Ability to work independently in a remote, fast-paced environment.
