Job Description

Job title: Transaction Lead, Transaction Advisory

Location: London

Corporate title: Vice President

You will operate in the Transaction Advisory function (a part of Transactions Policy and Advisory Group -TPAG) which is ultimately responsible for the due diligence that is undertaken on large and/or complex new transaction approvals (NTA and Non NTA), relevant new product approvals (NPA) and strategic acquisitions/ disposals, in a consistent manner across the Bank. These are some of the most interesting and high-profile transactions that the Bank executes. Transaction Advisory is responsible for the approval/documentation of the above transactions on behalf of Finance.

Transaction Advisory expertise is often sought from various Deal Teams early in the R&D phase to ensure all relevant angles are considered, and key issues are intercepted and remedied early in the process.

The group also acts as a face-off to Structuring, and liaises with all relevant specialist Finance functions, providing an element of challenge where applicable.

In your day to day role supporting the Transaction Manager’s approval, you will closely liaise with Accounting Policy, Regulatory Policy, Business Finance, Reg Reporting, Market Risk, and other departments as appropriate.

Your key responsibilities

  • Work within a team reviewing complex structured transactions and other new business. In most instances this would mean performing most the technical Accounting and Regulatory analysis and seeking support from subject matter experts where required.
  • Support the Transaction Manager in their sign-off of new transaction approvals, legal entity approvals and other structured transactions.
  • Coordinate all aspects related to Finance’s approval of the transactions under review including accounting and regulatory treatment, booking/control, business case challenge (ensuring we optimise our scarce resources), Risk Weighted Assets (RWA), regulatory leverage, liquidity, understanding cost income ratio etc).
  • Review ROE Hurdles calculations and coordinate escalations where required.
  • Play a key role to ensure that all aspects of our governance framework are adhered to and appropriately monitored/reported.
  • Support initiatives, and take on responsibilities across the wider TPAG team, particularly in Accounting Policy or Regulatory Policy.
  • Contribute to aspects of our continuous improvement programme and process-driven change.

Your skills and experience

  • Experience within Investment Bank or Financial Services, with exposure to complex financial products and transactions in a highly regulated environment.
  • Deep technical expertise in either IFRS/accounting or CRR prudential regulation (ideally both), with a willingness to develop knowledge across the other discipline. An accounting or regulatory policy background or connection is extremely helpful.
  • Good product knowledge across Fixed Income, Derivatives and/or Equities, ideally with exposure to structured or complex transactions involving multiple product types.
  • Ability to analyse transactions and assess their accounting, regulatory and financial implications, translating technical requirements into a commercial context.
  • Ability to manage multiple priorities, work to deadlines and make clear, well-reasoned judgements.
  • Demonstrable experience presenting complex information to senior stakeholders; including the ability to develop high-quality management presentations and reports.
  • Proven ability to leverage AI tools to enhance productivity, optimise workflows to solve business problems, while applying critical judgment to ensure responsible and ethical use of data and AI outputs.
