Fidostra is an independent provider of loan agency, security trustee and transaction administration services for institutional financing and capital markets transactions. We support clients and transaction parties through structured coordination, accurate information flows and disciplined execution throughout the lifecycle of a mandate.
Role Overview
Fidostra is seeking a Transaction Manager to contribute to the execution and ongoing administration of project and infrastructure finance transactions across agency, security trustee and transaction administration roles. The position involves working with lenders, sponsors, project companies, legal counsel, technical advisers, account banks and other transaction parties throughout the financing lifecycle. This is an execution-focused role requiring sound judgement, strong attention to detail and a good understanding of finance documentation and transaction mechanics.
Key Responsibilities
- Coordinate the onboarding, establishment and ongoing administration of project and infrastructure finance mandates.
- Review facility agreements, common terms agreements, intercreditor agreements, account agreements, security documents and related transaction documentation.
- Prepare transaction summaries, operational procedures, responsibility matrices, closing checklists and lifecycle calendars.
- Coordinate lenders, sponsors, project companies, legal counsel, technical advisers, account banks and other transaction parties.
- Support financial close by monitoring conditions precedent, funding requirements, closing deliverables and outstanding documentation.
- Administer facility mechanics including utilisations, drawdowns, rollovers, rate settings, interest periods, repayments, prepayments, fees and other transaction events.
- Coordinate receipt and distribution of project reports, compliance certificates, technical adviser reports, construction updates and other required information.
- Monitor contractual reporting dates, covenant-related deliverables and administrative requirements.
- Administer amendment, waiver and consent processes, including preparation and distribution of notices and recording of lender responses.
- Maintain lender registers and process assignments, transfers and changes to lender participation.
- Support intercreditor, security administration and controlled cash-flow processes in accordance with transaction documents and approved procedures.
- Maintain complete transaction records, document repositories, decision logs and audit trails.
- Identify missing, inconsistent or potentially material information and escalate matters in accordance with internal procedures.

Candidate Profile
- Typically three or more years of relevant experience in project finance, infrastructure finance, loan agency, banking operations, corporate trust or transaction administration.
- Experience gained within a bank, loan agency or corporate trust provider, infrastructure debt fund, institutional lender, asset manager, law firm or other relevant professional-services environment would be advantageous.
- Good understanding of project and infrastructure finance documentation and transaction structures.
- Familiarity with syndicated financings, infrastructure debt transactions, sponsor-backed financings, PPPs or concession-based projects would be beneficial.
- Ability to read and interpret facility agreements, intercreditor arrangements, account agreements and security documentation.
- Strong numerical, analytical and organisational skills with close attention to detail.
- Ability to manage several transactions, workstreams and competing deadlines in parallel.
- Clear, confident and professional communication with lenders, sponsors, advisers and other transaction parties.
- Sound judgement and a high degree of discretion when handling confidential and transaction-sensitive information.
- Structured, dependable and proactive working style.
- Experience with LoanIQ or comparable loan agency and transaction administration systems would be advantageous.
- Professional fluency in English is required. Additional European language skills would be advantageous.
